Career

Nilay Göker Duran graduated from Istanbul University Faculty of Law in 2005 and joined Istanbul Bar Association in 2007. She completed her master’s in law (LL.M.) on Corporate Law at the London School of Economics and Political Science in 2009 with the Jean Monnet Scholarship.

Prior to joining NAZALI as Corporate, M&A and Banking & Finance Partner, she worked as a counsel in a leading law firm in Turkey and played an active role in the executive team.

She works in the structuring and implementation processes of corporate and commercial transactions and supports her clients in the preparation and legal review of processes, signature, closing and post-closing implementation processes, cross-border and domestic transactions from the beginning to the end, and contracts including mergers and acquisitions concerning company law and commercial law and actively participates in the planning and implementation processes.

Nilay Göker Duran represents her domestic and international clients both as a buyer and seller party agent in mergers and acquisitions processes especially in private equity funds and venture capital funds during the establishment of the fund and in capital financing transactions in the post-establishment processes. In this context, she provides consultancy services for investments in various phases in the planning and implementation of investment and exit strategies. At the same time, she represents a range of domestic and international institutions in banking transactions and financing projects as both borrower and lender counsel.

Nilay Göker Duran also actively follows developing technologies such as AI, IoT and blockchain. She is also a member of organisations related to such emerging technologies and works in legal working groups.

She is acknowledged as one of the foremost legal practitioners in corporate law and M&A in independent research conducted by WhoisWhoLegal in 2018.
