Position

Jennifer is a Director and leads the Freeths’ Corporate team in Liverpool. Jennifer specialises in all aspects of corporate law, including merges and acquisitions (ranging from large multinational companies listed on various stock exchanges to SMEs) and private equity (acting for investors, founding shareholders and management teams).

Having spent 6 years at a large global law firm and a further 4 years at an international firm based in Dubai, Jennifer has extensive experience of UK and UAE cross border merges and acquisitions, shareholders’ agreements and implementing complex and high value joint ventures, corporate sales and acquisitions.

Jennifer has worked with clients operating in most business sectors including real estate, hospitality, retail, media and technology, information technology, education, insurance, shipping, healthcare, energy and gas, defence and security.

Jennifer’s reported cases and transactions include:

Advising shareholders and management on the £140 million management buy-out of Clarke Energy, a global genset engine technology manufacturer and maintenance provider.

Advising Al Arafa for Investment and Consultancies S.A.E, an Egyptian listed company, on the restructure of a controlling investment in its UK based group companies.

Advising Scottish Energy in relation to its investment in Anesco Limited and Anesco Asset Management Limited.

Advising Valspar Corporation plc, a specialist paint manufacturing company (listed on the New York stock exchange) on its acquisition of Inver Group, an Italian based holding company.

Advising Morning Foods Group and Oakes Millers Limited on the acquisition of M.E. Waterhouse Limited.

Advising UK General Insurance Limited on the disposal of its Specialist Landlord Insurance unit.

Advising Regus Group plc on its acquisition of Banffshire Holdings Limited and Executive Offices Limited.

Advising Roger Bullivant Limited in relation to its acquisition of New Chargill Limited, which involved a back to back three stage share transfer.

Advising Motorola Solutions Inc. on the disposal of its global Enterprise telecommunications business and employee transfers in the Middle East to Zebra Technologies Corporation for US$3.45 billion and co-ordinating local law advice in the Kingdom of Saudi Arabia and Egypt.

Advising a global power generator manufacturing and distribution company, Cummins Inc., on its joint venture with the Olayan Group across the UAE, KSA and Kuwait.

Advising Select Group on a number of joint ventures in Dubai for the development of plots for commercial and residential use.

Advising on the sale of Millennium Offshore Services Superholdings LLC, a leading provider of large scale offshore jack up accommodation service vessels in the MENA and Asia Pacific regions.

Advising SCA Group Holding B.V, (a company listed on the Swedish stock exchange and one of the world’s largest manufacturer’s and suppliers of branded personal care products and consumer goods) on its joint venture with Intercare Limited, a limited liability company established for the manufacture and distribution of goods in the UAE, Oman and Qatar.

Advising Sheffield Holdings Limited, a leading developer in the UAE, on its joint venture with Abu Dhabi Financial Group, a renowned multimillion dollar alternative investment firm, in relation to its investment in the Hard Rock Hotel Dubai Marina project.
