Position

Ömer Çollak is the partner heading the capital markets practice of the firm with a specific focus on equity, debt and equity-linked transactions representing the underwriters and issuers in initial public offerings, Eurobond offerings, Islamic finance transactions, and private placements. He also acts in regulatory capital issuances under Basel III, and represents clients in structured finance transactions, including but not limited to securitisations. Ömer further has significant experience in listed company mergers and acquisitions in addition to various high-ticket cross border mergers and acquisitions in varying sectors, including financial institutions and retail, acting for private equity firms and strategic investors.

Career

Prior to joining to Paksoy, Ömer worked as a foreign associate at a US firm in California, where he acted for bio-tech and high-tech multinational clients.

Paksoy handles the full range of financing matters and capital market transactions. Financing expertise includes leveraged and acquisition finance, project finance, regulatory capital transactions, secured and unsecured loans, sub-loans, syndicated loans and Islamic finance products. Capital markets expertise includes IPOs, local currency bond issuances, restructuring of bonds, asset-based securities, establishment of funds and structured finance transactions and securitisations. The team advised Ziraat Bankası on its entry into a $1.4bn syndicated loan agreement with 44 banks from 22 countries. Other clients include ABC Islamic Bank, ArcelorMittal, Bank of America Merrill Lynch, Barclays and Volkswagen Financial Services. Sera Somay focuses on finance transactions and co-heads the team alongside Ömer Çollak, who deals with capital markets matters. Ökkeş Şahan was promoted to counsel.

Paksoy handles a range of matters including debt restructuring, corporate restructuring and bankruptcy proceedings. In a recent highlight it rendered corporate restructuring advice to a multinational consumer electronics retailer; this included fiscal, tax and legal structuring, planning and implementation of a capital scheme. Clients include lenders and borrowers. Banking expert Sera Somay and capital markets specialist Ömer Çollak count among the team's key figures.   • SQUEEZE-OUT RIGHT IN PUBLIC COMPANIES -- TURKEY

    Squeeze-out and sell-out rights in Turkish public companies are regulated by the Communiqué on Squeeze-Out and Sell-Out Rights (the " Communiqué ") published in the Official Gazette dated 2 January 2014 effective as of 1 July 2014. The Communiqué was issued by the Capital Markets Board of Turkey (the " CMB ") in accordance with the Capital Markets Law and regulates the right to squeeze-out minority shareholders by the controlling shareholder and the minority shareholders' rights to exit the public company by selling their shares to the majority shareholder.
