Mr Amr Sidahmed
Corporate & Commercial
Amr Sidahmed is as an Associate in Al Alawi & Co. and has been with the firm since 2017, Muscat office and is a key member of the firm’s Corporate and Commercial practice group. His practice focuses on corporate and commercial law as well as larger practice areas including construction, power and water, oil and gas, real estate, banking and finance, technology and telecommunication and labor law. He is regularly tasked with drafting, reviewing and negotiating various sale and purchase agreements, joint venture agreements, shareholders’ agreements and share purchase agreements, advising clients on commercial contracts, corporate structuring and other business transactions.
Amr’s practice focuses on mergers and acquisitions, securities, corporate governance, general corporate and financing matters. He is experienced in counseling a wide range of clients, from early-stage companies to well-established, publicly listed companies. He has worked closely with the Boards of Directors of clients, their senior management and other personnel in finance, real estate, and oil and gas companies, as well as companies dealing with consumer products, information technology, and other industries. He represents issuers and stockholders in public offerings of securities, including secondary offerings and the resale of securities. He also advises public companies on regulatory reporting and disclosure requirements, including “material information” disclosure and related compliance matters. He represents issuers, venture groups and investors in various forms of private financings, including private placements, debt and equity financings.
Amr is experienced in general power and water related transactions, including advising syndicates of lenders financing projects under Oman law and its regulatory requirements as well as financing and term sheets, security packages and other obligations in respect of the proposed financing of projects. He also advises clients on matters relating to compliance with code of corporate governance and on the enforceability of commercial agreements from Oman law perspective including guarantees, confidentiality agreements, novation agreements and IT related agreements. In addition, Amr assists in structuring deals and advising on technical, strategic and procedural aspects of transactions.
Amr represents joint stock companies in their general meetings and other governance related matters and has recently co-represented a client in obtaining a convertible loan of over OMR 1m by preparing documentation, advisory and coordinating with the Capital Markets Authority, and has also acted as the Secretary to the general meeting in which the loan was approved.
Amr is an expert in conducting research on a broad range of Oman laws and interpretations and various other current topics impacting the Oman legal market and is always abreast of changes in laws and regulations issued by the regulatory bodies in the Sultanate of Oman.

Amr graduated as valedictorian with a Bachelor of Laws (Honour) from the Near-East University of Northern Cyprus and has in-depth knowledge of International Law.
