The firm

Voicu & Filipescu was established in 2001 by Romanian lawyers Daniel Voicu and Mugur Filipescu who at that moment took over the Romanian office of the international law firm Arent Fox Kitner Plotkin & Kahn LLP.

Ever since its establishment, Voicu & Filipescu has been one of the top ten Romanian law firms in terms of turnover, market position and reputation. Today the group includes the law firm, a dedicated tax and accounting company and a specialised insolvency practice.

Areas of practice

Mergers and acquisitions: Voicu & Filipescu advises companies on making acquisitions, merging, being acquired, or fending off hostile takeovers, using a variety of transaction formats – leveraged buyouts, management buyouts, recapitalisations, minority investments, spin-offs and covering issues related to bid and tender preparation and mergers and acquisition finance.

Banking and finance: Voicu & Filipescu provides expert advice to prominent international and local financial groups in M&A implementation or their day-to-day corporate, regulatory and commercial matters, restructuring lending activities, and acquisitions or launching new business lines, either by applying for the specific licences or passporting such licences from other EU countries.

Dispute resolution: the firm’s specialised lawyers have assisted clients in thousands of litigation and international arbitration cases, with a focus on commercial, employment, public procurement, insolvency and tax. Voicu & Filipescu represents large and small companies and partnerships, their officers, directors and management, as well as private individuals, in a diversity of litigation and/or arbitration matters. Its latest projects include public procurement cases, labour litigation, insurance cases as well as commercial, including debt recovery, and civil litigation.

Employment: Voicu & Filipescu’s specialised practice covers day-to-day employment advice, conducting compliance audits and defining compliant employment documentation, assistance in complex termination cases, collective dismissals, complex outsourcing projects, immigration formalities, employees data privacy, employment litigation and liaising with union/employee representatives.

Real estate and construction: Voicu & Filipescu provides advice to real estate developers in all phases of their investments, including real estate acquisition, permitting, project finance, property development, agreements, lease, exit strategies, dispute resolution and environmental aspects. The firm also assists retailers in their network expansion projects, as well as corporate clients on negotiating, entering/extending and exiting from lease agreements.

PPP and public procurement: the team has assisted on procurement procedures the cumulated value of which exceeds € 750m over recent years. It assists bidders as well as contracting authorities and financing institutions on all phases of procurement procedures and has a high success rate in procurement litigation cases in front of the administrative complaints body as well as in court.

Energy: mergers and acquisitions on the energy market, development of greenfield projects, construction and construction-related permits, engineering, procurement and construction agreements, operation and maintenance agreements, grid connection power agreements, power purchase agreements, including EFET, supply agreements, grant of subsidies process, project finance and regulatory.

Tax: general advice to local and multinational companies on a wide variety of tax and accountancy matters including: financial due diligence investigations, feasibility studies and business valuation, tax assistance involving tax compliance as well as optimisation/restructuring advice, payroll services etc.

Insolvency and restructuring: the practice includes services provided as liquidator in bankruptcy files, efficient capitalisation of insolvent companies’ assets in a record timeframe as well as official receiver in insolvency files of various companies, with an aim to reinsert their debtors into the business circuit

Which practises do you see growing in the next 12 months? What are the drivers behind that?

In the coming year we anticipate a further specialization of our lawyers and, although the areas of practice guidance is determined by the dynamics of the demand of legal services, we shall be focusing on covering the full spectrum of practice areas.

Considering the actual economic and political context in Romania, fields such as infrastructure, public procurement, banking and financial advice are probably more likely to significantly grow. We have many years of experience in assisting a large number of market players thus reaching a high level of familiarity with the activity and dynamics of such companies.

Data protection and privacy is also a field which is very active within our law firm following the GDPR entering into force last year, which provided us with lots of working hours in providing full-service legal assistance to our clients, together with our partners for cybersecurity and IT services.
I have to also mention the corporate and commercial field, as being in the heart of our practice, our specialized lawyers handling any legal issue occurring during the life-cycle of private or public companies, from business incorporation, corporate governance, to capital structure modifications and reorganizations.

Is technology changing the way you interact with your clients, and the services you can provide them?

Technology is definitely an important part on how our firm interacts with other professionals and clients. All our clients are internet-connected entities therefore our interactions exceed the traditional face-to-face meetings which is no longer the sole way of doing business. We are using modern communication technology in video conferencing, online portals as well as a dedicated internal legal practice software which is also a very efficient way of improving our productivity as well as ensuring swift response times and effective advice.

We are also using technology in advising clients by developing, together with our IT and cybersecurity services partners, dedicated software to be used in large volume projects as well as in specific compliance and audit services. Due to a thorough web-based database purposefully designed to be used in handling large volume projects for our clients, we can ensure efficient monitoring and smooth progress of each individual case.

Our approach of using technology in projects that have called for a great level of resources has been rewarded with the “Technology and data analytics” award by the prestigious Financial Times Innovative Lawyers publication.

Can you give us a practical example of how you have helped a client to add value to their business?

Understanding the business needs of our clients doubled by a thorough approach to their industry is one of our main concerns. We are always focusing on the particularities of the clients and are constantly trying to identify the best development opportunities for our clients’ business including searching for investment opportunities, financial advice for cost efficiency purposes provided by our tax specialists, insolvency and reorganization advice provided by our team of insolvency practitioners and economists. Some of our lawyers are also graduates in economics, in addition to their law degree, which translates to a multidisciplinary approach to our clients’ projects, also envisaging the commercial and business consequences of the client’s legal actions.

We have many examples in this regard ranging from assisting clients in identifying investment opportunities in Romania in developing power plants to advising on legal actions in connection with termination of unprofitable contracts.
