The Greek real estate sector is undergoing rapid legal and institutional transformation. Amid heightened investor interest, legislative reforms, and judicial scrutiny, the market faces both new opportunities and regulatory complexity.
The current situation directly impacts legal risk management, deal structuring, permitting strategies, and dispute resolution – areas where general counsels (GCs) play a critical leadership role.
This panel will explore the multifaceted challenges and opportunities shaping the current and future landscape of real estate in Greece. Panellists will discuss the implications of Law 5197/2025, which was introduced following Council of State rulings that questioned the constitutionality of key incentives under the New Building Code. This includes assessing which incentives remain valid, the legal consequences of mandatory permit revisions, and how to manage investor expectations in the absence of secondary legislation.
The conversation will also cover Greece’s digital modernisation push under Law 5142/2024, including the introduction of AI tools and automation in land registry systems. Shifts in investor focus – from fragmented developments to integrated resorts and branded residences – will be examined considering zoning and permitting needs.
Finally, the panel will consider how Greece’s new FDI screening mechanism (Law 5202/2025) affects strategic investments, and what GCs need to know when advising on cross-border deals.

In today’s globalized economy, access to international talent is not a competitive advantage – it’s a necessity. However, for General Counsel (GC), navigating the legal landscape around the employment of third-country nationals (TCNs) presents both operational and reputational challenges. This presentation examines the evolving regulatory frameworks in Greece governing the lawful employment of TCNs, including sector-specific needs such as hospitality, heavy industry, and construction.
Key compliance pillars include lawful entry procedures, work and residence permit requirements, recognition of qualifications, and anti-discrimination obligations. During the panel discussion key note speakers will explore the importance of due diligence in recruitment practices, internal controls, and cooperation with public authorities. A focus will be placed on the emerging role of legal migration as a solution to critical labour shortages, and the increasing scrutiny on employers to ensure ethical employment standards.

Recent labor reforms in Greece aim to modernize employment processes, balancing business efficiency with employee rights. Key initiatives include the upgraded ERGANI II system, the Digital Work Card, and regulations on remote work and workplace safety. A new labor bill, expected to be introduced for consultation in June 2025, will provide for, among other measures, the full digitalization of hiring and dismissal procedures while improving the status of working-time arrangements. Despite these advantages, challenges remain, particularly delays in implementing certain provisions (i.e. new forms for hiring, dismissals, etc.) of Law 5053/2023 due to technical hurdles.
The Digital Work Card tracks on-site hours but excludes remote work, leading to adaptation and logistical challenges for employers. Remote work is now legally regulated and includes a “right to disconnect”; however, businesses continue to face difficulties concerning productivity, hybrid models, and the integration of AI. Anti-harassment policies require employers to enforce preventive measures, provide confidential complaint channels, and ensure a safe environment for reporting misconduct. In terms of equal pay, the transposition of EU Directive 2023/970 will compel businesses to take action in addressing gender pay disparities.
Overall, these reforms aim to create a fairer, more flexible workplace, but they require significant adjustments from businesses to ensure both compliance and effective implementation.

Kloy Tsiaga is a founding partner of Thesis Law Firm and the Managing Partner. With over 20 years of experience in Public Works, EU Public Procurement Law and Infrastructure and Large-Scale Projects, Kloy has been advisor to leading global engineering and design consultancies, construction companies and investors on several projects, including projects in the water and wastewater sector, in the rail, highways and transportation sector, in the ports sector, in the energy sector as well as in the hospitality sector, projects related to residential and commercial development of properties, concessions and PPP/PFI projects. She has also substantial experience in Commercial & Corporate Law and has regularly advised listed and non-listed companies on compliance requirements, M&As, finance and taxation issues. Kloy has also worked as special advisor to the Ministry of Industry, Energy and Technology and as special advisor to the Public Company “Greek Powder & Catridge Company SA”. Vivian Sartzetaki, head of legal, Alpha Real Estate Services
Vivian Sartzetaki, with 23 years of professional experience, currently holds the position of General Counsel and Head of Legal Services at ALPHA Real Estate Services SA, a member of the ALPHA Bank Group. ARES, founded in 1942 and listed on the ASE since 1999, specializes in property management, real estate consulting, brokerage services, asset valuations and technical advisory, providing integrated real estate solutions.
Before joining ARES, Vivian served as Legal & HR Manager and executive member of the Board of Directors at AGC Equity Partners in Greece. She played an active role in the implementation of the emblematic investment in Astir Palace Vouliagmenis and in strategic development of Blue Iris in Mykonos.
Earlier in her career, Vivian spent six years at Heracles General Cement Company, a member of the Lafarge Group, where she handled corporate governance matters and ensured compliance with capital market regulations & EU competition law. Vivian began her legal career at Lamda Development SA, part of the Latsis Group.
Vivian Sartzetaki holds a LL.B. from the Law School of the National and Kapodistrian University of Athens and has pursued postgraduate studies in Applied Economics and Strategy at the Athens University of Economics and Business.
Kakia Tzemou, general counsel, Prodea Investments
Kakia Tzemou is the General Counsel of Prodea Investments, a listed real estate investment company (REIC). She is an attorney-at-law, member of the Athens Bar Association, qualified to plead before the Supreme Court, she holds a Law degree from the Athens University and an International Diploma in Governance, Risk and Compliance, ICA – University of Manchester, Alliance Manchester Business School. She has also obtained certifications as a Compliance Officer and AML Officer. She speaks Greek, English and French.
She has been practicing law as an in-house lawyer and as an external legal advisor to financial and other regulated institutions since 1992 and has extensive experience in corporate, commercial, and civil law, bankruptcy and restructuring of debts, litigation of commercial law cases, finance, real estate, financial and operating leasing, corporate governance and compliance.

Maria specialises in employment, immigration and social security law. Her dedicated labor practice includes representing clients during employment law litigation procedures, relationship with employee’s representatives (work councils and trade unions), providing advisory services related to collective and individual remuneration policies, corporate reorganisations, as well as individual and collective dismissal procedures. She has extensive experience in managing Human Resources issues (collective redundancies, as well as reorganization actions) for companies heading towards insolvency.

Katerina Mangana is a Supreme Court lawyer and a member of the Athens Bar Association. She holds a Master’s degree in International and Maritime Law from the Faculty of Law, University of Athens.
She currently serves as Chief Legal Officer at ION, a leading cocoa and chocolate manufacturing and trading company, where she is also Secretary to the Board of Directors. With over 20 years of experience as a legal advisor, Katerina has built a distinguished career providing strategic counsel to corporations across various sectors.
She is also a Member of the Board of Directors at Bespoke SGA Holdings. In recognition of her leadership and contributions to the in-house legal field, Katerina was named to the General Counsel Powerlist: Greece and Cyprus 2024 by Legal 500.
Zoi Stolaki, head of regulatory and corporate affairs department, legal division, DEPA
Zoi Stolaki is attorney-at-law and Head of Regulatory & Corporate Affairs Department at the Legal Division of DEPA Commercial. Ms. Stolaki advises on EU and Greek energy regulatory law and corporate law matters, incl. advising on the legal/regulatory and corporate law aspects of natural gas and RES projects, energy contracts, M&As, project financing and corporate restructurings and is also in charge of the group’s subsidiaries’ legal supervision.
Prior to her current position, Ms. Stolaki worked at the Brussels office of the international law firm Dechert in the fields of EU Competition Law and EU Energy Regulatory. Georgia Tsiaoussi is General Counsel at Howden Greece & Cyprus, where she leads a legal department of five and advises on a broad spectrum of corporate and commercial legal matters. Sophia Grigoriadou, partner, PwC Legal Services
Sophia is a Supreme Court lawyer and joined PwC Greece in 2024 after 5 years as the Head of Legal of another Big4firm. Previously she was a partner for 20 years of one of the most well-known Greek business law firms.
Sophia is a multidisciplinary senior lawyer with experience in most areas of business law, such as Real Estate, M&As & Privatizations, Tax Litigation and Public Contracts, Capital Markets, Corporate Governance and Regulatory, as well as Employment Law and Banking. Asimina Bistola, chief legal and corporate governance officer, DEDDIE
Asimina Bistola is an attorney at law admitted to the Supreme Court of Greece with extensive experience in the fields of energy law, competition law, and corporate governance. Since December 2024, she has held the position of General Director of Legal Affairs and Corporate Governance at DEDDIE S.A. Previously, for twelve years, she served as Director of the Renewable Energy Sources (RES) Legal Department at the General Directorate of Legal Affairs and Corporate Governance of PPC S.A., while also participating as a board member in the group of companies of PPC Renewables.
Her previous professional experience includes collaboration with the law firm Mikroulea – Chrysanthis & Partners, where she specialized in competition law and industrial property matters, as well as her tenure as a legal advisor in banking and insurance organizations such as the Postal Savings Bank and Ethniki Asfalistiki, handling financing and insurance coverage issues, respectively. Additionally, she worked at the Hellenic Parliament as scientific personnel, supporting legislative drafting activities.
She holds a law degree from the National and Kapodistrian University of Athens (NKUA) and a postgraduate degree in Commercial Law from the same institution. She has successfully completed Executive Education programs at Harvard Law School and INSEAD and is an accredited mediator by the Ministry of Justice. Asimina Bistola is a founding member and board member of the Hellenic Association for Energy Law and has participated as a speaker in conferences and seminars on energy law. Yiota Epitropou, director, legal, strategic projects, regulation and ESG, Alpha Bank
Yiota started her career in the venture capital/private equity sector at Emporiki Venture Capital and was engaged in multijurisdictional transactions in Europe, Russia and USA, entailing investments in either early or growth stage businesses. Later on she had the opportunity to work at Credit Agricole Group while assuming a position in Emporiki Bank managing the corporate & investment banking legal unit, covering a wide area of financing options, including loan syndications, factoring, shipping and project finance while in parallel advising the insurance companies of the group.
She is presently in Alpha Bank heading the Strategic Projects, Regulation & ESG legal function. Yiota was actively involved in all cross-border milestone M&A deals, including the multilevel strategic cooperation with UniCredit. She has participated in portfolio sales, group reorganisations and has keenly contributed to the Bank’s recapitalisations. Through her current position she has gained considerable experience in corporate governance, sustainability and regulatory matters and is also supervising the real estate and the private equity legal units of the group.

Cleopatra Koutra is the Director of Legal Services, Compliance, and Corporate Governance at the company “Stavros Niarchos Foundation Cultural Center S.A.”
She is a lawyer in Athens and a graduate of the Law School of the National and Kapodistrian University of Athens. She has specialized in commercial and corporate law with postgraduate studies at University College London, New York University, and the National University of Singapore.
She has worked in law firms and commercial companies in Greece and abroad, and she has also gained specialized experience in matters concerning public sector entities. Eirini Florou, general counsel, Holcim
Eirini (Rena) Florou is an award-winning legal professional with over 25 years of experience in corporate, commercial, civil law, and M&As in both European and Greek markets. She is currently holding the position of Europe Associate General Counsel for HOLCIM GROUP (since April 2022) and she is concurrently serving as Greece General Counsel & Compliance Officer. She is a member of the Heracles Group Board of Directors and of SEV’s Working Group Governance.
Prior to her current roles, she held significant legal positions in Food Retail, Automotive and Industrial Batteries Industries. She holds an LLM in European Community Law and European Economic Law from the Institute of European Studies of Free University of Brussels and a Law Degree from Democritus University of Thrace.
