Angela’s main practice areas are in commercial, industrial and residential property and property-related corporate transactions and investment work, real estate disposals, acquisitions, real estate investment trusts, tenders and government land sales, property development, property regulatory and advisory work, leasing, real estate financing, syndication, securitisation, commercial contracts and joint ventures.

Work Highlights

Significant transactions that Angela has been involved in include advising / acting for the following:

  • A club of lenders in a S$925 million financing granted to Commons Residential Pte. Ltd., Commons SR Trustee Pte. Ltd. (in its capacity as trustee-manager of Commons SR Trust) and Commons Commercial Trustee Pte. Ltd. (in its capacity as trustee-manager of Commons Commercial Trust), which are special purpose vehicles owned by a joint venture between Far East Organization, Sekisui House and Sino Group, for the development of a highly-coveted commercial and residential site located at Holland Road.
  • A club of lenders in a S$1.2 billion “green loan” granted to Frasers Property Aquamarine Trustee Pte. Ltd. (in its capacity as trustee-manager of Aquamarine Star Trust) for the refinancing of Frasers Tower, a premium Grade-A energy-efficient office tower with its own park and podium roof gardens, located at the gateway to Singapore central business district. The loan is the first syndicated green loan under the Green Loan Principles in Singapore and South East Asia.
  • Sembcorp Environment Pte. Ltd. in the real estate aspects of its divestment of its Singapore medical waste division to TEE Medical Services.
  • The Singapore SPVs of a foreign conglomerate in its acquisition of a hotel at Jalan Besar and in its acquisition of another hotel by way of acquiring all the issued and paid up shares of the hotel holding subsidiary of a listed company. Both hotels have since been rebranded as a Holiday Inn Express and Hilton Garden Inn respectively.
  • The purchasers in the acquisition and financing of strata units by way of (a) the acquisition of the entire issued and paid up share capital of Angullia Development Pte. Ltd.‎ (“ADPL”), which involved, among others, the obtaining of a clearance certificate for ADPL from the Land Dealings Approval Unit of the Singapore Land Authority, and (b) the senior debt and junior debt refinancing exercise of ADPL.
  • Mapletree Commercial Trust Management Ltd., as manager of Mapletree Commercial Trust (“MCT”), in relation to (i) the acquisition of the office and business park components of Mapletree Business City (Phase 1) from its sponsor, Mapletree Investments Pte. Ltd., for S$1.78 billion, and (ii) the equity fund raising undertaken by MCT, which involved the issue of up to 795 million new units in MCT to raise gross proceeds of approximately S$989.6 million.
