Dispute resolution > M&A litigation: defense Tier 1

The partners at Simpson Thacher & Bartlett LLP are ‘subject matter experts who provide timely, practical advice that allows the clients to make risk-based decisions‘. The firm, which is described as ‘a litigation powerhouse, both inside Delaware and outside of it‘, frequently acts for issuers and their boards of directors, special committees, private equity firms and other financial sponsors. The vastly experienced Jonathan Youngwood and renowned trial lawyer Lynn Neuner lead the M&A litigation group. Having played a key role in the case that opened up the slew of SPAC-related litigation, acting for client Multiplan, the firm remains active in that space with Youngwood and Craig Waldman advising Paysafe in a case concerning its 2021 merger with Foley Trasimene Acquisition Corp. II, in which the company was valued at $9bn. The ‘exceptional’ Peter Kazanoff is currently defending Convey Health Solutions in shareholder litigation arising from TPG’s proposed take-private transaction, in which plaintiffs alleged breach of fiduciary duty. James Kreissman and Palo Alto-based Stephen Blake also play pivotal roles in many of the firm’s most prominent cases.

Testimonials

‘The lawyers with whom we work at Simpson are subject matter experts and provide timely, practical advice that allows the Company to make risk-based decisions. Their advice is neither too conservative nor too permissive/expansive, which helps enormously when I am trying to evaluate the risk presented by a particular course of action or decision. They help define the risk continuum and its consequences.’

‘Particularly as it relates to securities litigation, Pete Kazanoff is exceptional in terms of practicality in staffing and approach. He is keenly aware of the need to balance doing what needs to be done to protect the Company with the cost/benefit of doing so. Sara Razi is very similar in her approach to antitrust matters.’

‘STB is a litigation powerhouse, both inside Delaware and outside of it.’

‘Peter Kazanoff and Janet Gochman are extremely talented, effective and practical attorneys, who understand how to secure the optimal outcome for their clients rather than applying a one-size-fits-all approach to litigation.’

He is one of the few litigators who is not only experienced in handling complex US litigations, but also have deep understanding of Chinese companies’ culture and needs so that he works smoothly with our in-house legal and business teams in Chinese companies. International trade > CFIUS Tier 1

A destination practice for acquisitional private equity clients, Simpson Thacher & Bartlett LLP represents some of the world’s largest asset managers in CFIUS matters such as Blackstone, KKR and Carlyle. The group, which scores highly for its ‘understanding of not only CFIUS but FDI regimes around the world’, also acts for multinational corporations, investors and sovereign wealth funds on high-stakes reviews. Its breadth of industry expertise is equally comprehensive and spans some of the market’s most sensitive business segments, including technology, energy, infrastructure, defense and aerospace. Highlighted as ‘one of the CFIUS bar’s senior leaders’, Malcolm Tuesley heads the national security regulatory practice; he recently obtained CFIUS approval for Australia-headquartered IFM Investors in connection with its $11bn take-private, together with DigitalBridge Group, of US data center company, Switch. Promoted to partner in early 2023, Mark Skerry is already noted for his ‘dynamic understanding of the subject matter’. Among his recent highlights, Skerry led the national security advice to a consortium of investors—led by Blackstone and including sovereign wealth funds, Abu Dhabi Investment Authority and GIC—in the $14bn acquisition of a majority stake in the Climate Technologies business of Emerson Electric. The Washington DC-based team also includes talented associate Jennifer Ho.

Testimonials

‘The STB team is truly exceptional and the best in the market. Its understanding of not only CFIUS but FDI regimes around the world, and the political context, means it is unparalleled in providing astute advice.’

‘The team’s sharing of knowledge and desire to understand insights from around the globe means it is a repository of what is market practice. In addition lawyers look for, and find, innovative solutions and paths through regulatory approvals processes.’

‘Malcolm Tuesley is extremely strong. A long-time veteran of the space, there is nothing Malcolm hasn’t seen. I rely on his experience as one of the CFIUS bar’s senior leaders.’

‘Mark Skerry is a leading individual globally. We deal with numerous global law firms. Mark’s desire to work collaboratively to develop innovative regulatory strategies is second to none. He is also a complete delight who understands and appreciates the confines and technicalities of jurisdictional FDI issues.’

‘Very high professional skills, very pragmatic approach to the CFIUS regulation, very good understanding of the regulator’s approach and expectations and strong ability to navigate the proceeding to deliver a result. Tier-one service.’

‘STB’s practice is very strong. CFIUS is very much a small universe where it’s important “who you know” and the law is more art than science. STB is extremely well connected and works for many major clients, which is huge because it provides more insight into a very black-box process than most firms.’

‘Mark Skerry is a star. Recently promoted to partner, but provides services of a veteran of decades of practice. I rely on Mark to, in some senses, operate as my right hand and almost another in-house counsel with me. He manages local counsel where appropriate, and escalates to me where necessary.’

‘The practice has a team of subject matter experts, like Mark Skerry, who possess a dynamic understanding of the subject matter and significant practical experience. Mark Skerry is accessible, easy to work with and is highly experienced.’

‘STB’s not-for-profit group excels in a niche area of the law where expertise is rare. We use the firm as a lawyer’s lawyer to address issues where we are uncertain. Testimonials

‘STB is one of a few antitrust practices that are full service – they can handle any deal you throw at them and litigate it if necessary. Most firms say they can do this, but few can execute.’

‘The Simpson Thacher antitrust team is fantastic. They are commercial, practical, experts, friendly and extremely deep. They have the ability to staff from equally strong New York and Washington offices, and they can cover all areas from merger control, to conduct matters to criminal investigations. I also appreciate the strength they have in the HSR role, with multiple experts covering the difficult rules prescribed under Hart-Scott-Rodino.’

‘Peter Guryan – I cannot say enough good things about Peter. He is extremely intelligent, responsive, respectful and practical. He is a great team player, both among his colleagues and also with the other side of matters, thereby always looking for practical solutions rather than individual attribution.’

‘Preston Miller is up and coming. I have heard multiple partners from other law firms regularly describe Preston in glowing terms. This is because he is an extremely capable antitrust lawyer who always looks for concise and practical solutions. Preston is also very hard working.’
