Career

Shane advises employers, executives and management teams on the tax and securities law implications of compensatory arrangements for a range of clients, with a special emphasis on private equity sponsored work and the complex tax issues associated with golden parachute payments and transfers of property for services. He also guides boards of directors and compensation committees on executive compensation matters, and assists public and private partnerships, corporations and REITs in designing, drafting and implementing severance and retention plans and equity-based compensation arrangements.

Working closely with the firm’s corporate practice group, Shane advises clients involved in mergers, acquisitions, restructurings, initial public offerings, and De-SPAC transactions, including target company management teams, on their post-transaction compensatory and benefits packages. From a corporate governance standpoint, he counsels clients with respect to proxy statement disclosure, shareholder approval issues involving equity compensation arrangements, and other compensation-related matters.

Shane also advises clients on the design and administration of retirement plans, welfare plans, and payroll practices.
