Position
Dan Webb is a Partner in our Palo Alto office. His practice focuses on capital markets transactions, as well as advising on corporate law, governance and securities law matters. He advises issuers, underwriters and sponsors in initial public offerings, PIPEs, block trades and other equity offerings, offerings of preferred equity, offerings by special purpose acquisition companies (SPACs), and offerings of investment grade, high yield and convertible debt. He has extensive experience with private investments in public equity (PIPEs), having worked on PIPE transactions across a wide range of securities, including convertible notes, convertible preferred stock, warrants and common stock, and in a wide variety of business contexts, including acquisition financing, dividend recapitalizations and strategic investments. He worked on Apple’s $17 billion inaugural bond offering, the largest corporate bond offering in history at the time, and Facebook’s $16 billion IPO, and has advised on many complex and innovative matters, such as auction-based offerings, UP-C and similar exchangeable share structures, and Dell Technologies’ retirement of its class of tracking stock.
