Faisal is a partner who specialises in corporate and commercial law and advises a wide range of private, public and third sector organisations on mergers and acquisitions, joint ventures and collaborations, commercial contracts and banking and finance law.

Faisal’s main industry focus is the health and social care sector. Within that sector, he specialises in the sale and purchase of health and social care businesses, in particular, dental practices and care homes. Faisal acts for private equity and venture capital backed businesses, practitioners (dentists and GPs), NHS bodies, social enterprises and charities and a variety of private limited companies.

Faisal provides specialist advice to dentists and dental corporates on the sale and purchase of dental practices, practice incorporations, issues involving NHS dental contracts and issues relating to associate agreements.

Faisal is also highly experienced in advising shareholders on shareholder exits, in particular, exits involving sales to large corporate groups.

Faisal prides himself on being a “deal doer” who finds innovative solutions to tricky situations so that clients can achieve their business ambitions in a timely, cost effective and commercial manner.


Began legal career with Allen & Overy, London, as a paralegal, trained with Ford & Warren, qualified 2005, Assistant Solicitor with Ford & Warren 2005 – 2008 which included a four month secondment to Gillman Professional Corp, Toronto, Canada. Joined Hempsons 2008. Seconded to the Department of Health’s Social Enterprise Unit in 2010. Made a Partner with Hempsons in 2013.

Hempsons is 'clearly a market leader in the medical partnership field', a reputation that is embodied by its practice head, 'problem-solver' Ross Clark , who possesses 'superb knowledge of NHS systems'. In addition to an active medical M&A practice, he also has significant experience in the formation of primary care partnership models and the establishment and reorganisations of GP Provider Organisations (GPPOs). 'Good communicator' and 'clear-thinker' Ian Hempseed advised Encompass GP Partnerships to incorporate a company limited by shares for the purpose of representing the practices within its locality and enabling it to bid for specific contracts. Faisal Dhalla is noted for his expertise in partnership disputes, while Bryn Morgan specialises in real estate issues arising out of medical partnerships. Known for providing 'frank advice', Lynne Abbess retired in July 2017, but is often called upon as a consultant.

Recent mandates for Lawford Davies include advising the Francis Crick Institute (and The Wellcome Trust) on obtaining regulatory approval for its gene editing technology, and defending Professor Paolo Macchiarini, who was accused of research misconduct following the death of a patient and falsifying academic credentials. It is advising Syngentis, a health work and community interest company, on the winding up of operations; and advising Grace’s Place Children’s Hospice on its merger with Forget Me Not Hospice.
