As of 1 January 2025, Dutch tax classification rules for limited partnerships have undergone a fundamental shift. This change may have significant implications for Dutch pension funds, particularly those investing in (alternative) investment funds (Funds), which are commonly structured as Dutch or foreign limited partnerships. Given the potential impact on tax treatment and access to treaty benefits, pension funds should carefully assess the consequences of these new classification rules for both existing and future investments in such Funds.

What has changed?

Under the new classification rules, as a main rule, all Dutch limited partnerships (commanditaire vennootschap) and foreign equivalents have become transparent for Dutch tax purposes. Foreign equivalents include inter alia the Luxembourg SCSp (Société en Commandite Spéciale) and Anglo-Saxon limited partnerships (including governed by US and UK law).
