Clifford Chance advises large domestic and international groups, arrangers and financing banks on finance transactions such as investment grade, acquisition finance, syndicated loans, bonds and debt restructuring. The team advised the arrangers, Intesa Sanpaolo-Banca IMI, Mediobanca and UniCredit, on a financing related to the takeover bid for masts group EI Towers. Capital markets: Debt Tier 1
Clifford Chance's team is 'professional, thorough, easy to work with and good value for money'; it plays a leading role in the market's most significant debt capital market and securitisation transactions. The practice advised Intesa Sanpaolo on the tender offer and acquisition of government-guaranteed senior notes, which were issued in 2017 by former Venetian Banks, Banca Popolare di Vicenza and Veneto Banca. Co-head of the Italian finance and capital markets practice Filippo Emanuele and recently promoted partner Gioacchino Foti 'provide excellent product and market knowledge'; the 'always available and quick to answer' Tanja Svetina is responsible for the structured finance and securitisation team; Lucio Bonavitacola leads the regulatory team; and counsel Laura Scaglioni has specific expertise in US law. The senior associates to note are Luca Baroni, Alice Reali and recently promoted Jonathan Astbury. Capital markets: Equity Tier 1
Clifford Chance advises on prominent equity capital markets (ECM) transactions, including major IPOs in Italy and high-profile capital raisings. Other areas of strength are rights issues, exchangeable and convertible bonds, and block trades The practice advised the joint global coordinators and joint bookrunners on the IPO and admission to listing of Pirelli on the MTA market; it also assisted Banca Carige with its €1bn capital strengthening plan, including a €560m capital increase. Filippo Emanuele co-heads the finance and capital markets practice and Alberta Figari and Paolo Sersale are also key advisers. Laura Scaglioni is a highly regarded counsel and Stefano Parrocchetti is an experienced senior associate.
Clifford Chance provides ‘clear and complete opinions, which rarely need to be reviewed’. The team regularly acts for public and private companies including RAI and Enel under the leadership of Aristide Police and counsel Filippo Degni and is active in contentious and non-contentious matters arising from public tender procedures. Clifford Chance's recent experience includes corporate and M&A head Paolo Sersale, Umberto Penco Salvi and counsel Filippo Isacco advising Japan-headquartered global housing and building entity Lixil Group Corporation on the sale of Permasteelisa, a global contractor in the engineering, project management, manufacturing, and installation of curtain walls and interior systems; Claudio Cerabolini advising ITV Studios, the TV production division of ITV, on the acquisition of a 51 per cent stake in Cattleya, a major independent producer in Italy; and Alberta Figari acting for Banca Ifis on the acquisition of a majority stake in Credifarma, which specialises in pharmacy lending. Led by Antonio Golino, Clifford Chance's compliance group is part of the regulatory investigations and financial crimes team in Italy. It is experienced in criminal defence and regulatory enforcement as well as the design, implementation, and execution of compliance programmes, particularly systems and controls to prevent criminal offences. Dispute resolution Tier 2
Corporate, financial and antitrust matters are the mainstays of Clifford Chance’s dispute resolution practice, as well as civil and criminal law issues. Head of team Fabio Guastadisegni and Carlo Felice Giampaolino represented Elipso Finance in the arbitration against Banca Monte dei Paschi di Siena regarding an alleged breach of guarantees connected to the selling of financial receivables; Antonio Golino and Jean-Paule Castagno are acting as counsel of record for the former managers of Seat Pagine Gialle and Permira in a criminal investigation concerning an alleged bankruptcy fraud.
EU and competition law Tier 2
The highly recommended Luciano Di Via leads the EU and competition team at Clifford Chance and is often involved in M&A-related matters; he recently advised Eolo on the antitrust aspects of the sale of a 49% stake of its business to global private investment firm Searchlight Capital Partners and acted for Arcaplanet on the acquisition of Mondial Pet Distribution. On the contentious side, he represented Autogas in proceedings opened by the ICA alleging unfair commercial practices and handled the subsequent appeal before Lazio's first instance administrative court.

Clifford Chance advises financial institutions, investment funds and clients in the retail and hotel sectors on real estate transactions, establishment of funds and financing, as well as on real estate-related taxation and regulatory issues. The ‘productive’ team, which is led by Claudio Cerabolini, is ‘easy to work with’; it recently acted for the Cromwell European Real Estate Investment Trust on the purchase of 14 properties in Italy for €400m in the context of the creation of a pan-European diversified portfolio, and advised the financiers on the establishment of a real estate fixed-capital investment society by an Italian property developer.
Tax Tier 3
Clifford Chance 'addresses matters effectively'. Its areas of expertise include the tax aspects of M&A and restructuring, financial markets and real estate as well as corporate taxation, EU and international tax law, litigation, transfer pricing and indirect taxation. The practice advised Goldman Sachs International on its dealings with the Italian tax authorities in relation to the acquisition of a portfolio of leasing performing loans from Hypo Alpe-Adria- Bank. Practice head Carlo Galli is 'very knowledgeable'; the senior associates to note are Sara Mancinelli and the 'efficient and skilled' Andrea Sgrilli, the latter recently promoted. Intellectual property Tier 4
The majority of Clifford Chance’s work revolves around the IT and technology sectors, but the team also has the capabilities to handle the full gamut of intellectual property matters.
