Career

 

Rita, who has been with ABNR since 1991, is a senior partner who focuses her practice on capital markets, real estate, mergers & acquisitions (M&A), foreign direct investment (FDI), and banking & finance. Over the years, she has amassed extensive industry-specific knowledge and expertise across a range of key sectors, including financial services, manufacturing, consumer goods, natural resources and oil & gas, construction, automotive, plantations & agriculture, and tourism & hospitality.

She is a key member of ABNR’s capital markets practice, focusing on both onshore and offshore debt and equity offerings. She assisted renewable energy company PT Kencana Energi Lestari Tbk with its IPO and listing on the Indonesia Stock Exchange on 2 September 2019.

In real estate, she recently advised a leading China-based property developer on the proposed establishment of an Indonesian joint venture company to develop a multibillion-dollar new city on the outskirts of Jakarta, consisting of commercial property (F&B, retail, mall, office, residential), an indoor and outdoor theme park, hotel, convention center, an international school and an international hospital.  

She is presently assisting an Indonesian SOE with their proposed joint venture with a state-owned construction company for a proposed transport-orientated development (TOD) in Yogyakarta that will consist of a mall and apartment complex. She is also currently assisting Indonesian state rail operator KAI with the real estate aspects of a number of significant matters, including a long-term project to reopen disused rail lines in Java.

In M&A and FDI, she is working on the acquisition of an Indonesian mining company by a China-based specialist mining and metallurgy company, as well as a number of other cross-border M&A deals, and recently advised a widely diversified Indonesian conglomerate focused on the resources sector on its proposed acquisition of two oil-palm plantation companies with operations in Indonesian Papua.

In banking & finance, she recently successfully concluded the long-running acquisition by South Korea’s APRO Financial Inc. of Indonesia’s Bank Dinar and is now working on Dinar’s merger with Bank Oke Indonesia, which was acquired previously by APRO. This acquisition and merger process is being conducted using a pioneering 3-tier structure developed by the Indonesian Financial Services Authority (OJK), with the assistance of ABNR, which allows an acquiring foreign bank to bypass the 40% foreign ownership cap in the Indonesian banking sector. The structure is now held out as a model by the OJK to promote further foreign investment in the country’s banking sector under their Indonesia Banking Architecture blueprint for strengthening the financial system.

Rita is lauded as a “Distinguished Practitioner” for Corporate and M&A and for Real Estate by Asialaw, is recognized as a “Highly Regarded” practitioner for Banking and M&A by IFLR 1000, and is recommended for capital markets by Legal 500 Asia Pacific.
