Stefan Damian is Deputy Managing Partner at Tuca Zbârcea & Asociatii. He specialises in mergers and acquisitions, banking and finance and capital markets. Stefan has built up a considerable body of practice and experience on the merger and acquisitions/privatization, post-merger and acquisitions/privatization issues affecting private and State-owned enterprises, and on the reorganization of corporate and commercial relationships. His capital markets experience includes assistance in the first listing of an international company in Romania, while also working very closely with the main regulatory authorities – the Bucharest Stock Exchange, as well as investment banks, investment and private equity funds, buyout funds, venture capital firms, real estate funds and other alternative investment vehicles, public portfolio companies in many types of investment transactions, including buyouts and recapitalizations, fund formation and management, acquiring participations and exiting procedures, and joint ventures.

Ţuca Zbârcea & Asociaţii handles the full spectrum of banking and finance matters. On the NPL front, the team assisted Deutsche Bank, AnaCap Financial Europe and APS Holding with the takeover of a NPLs from Alpha Bank Romania and Alpha Bank. The team had an active year in the financing sphere, advising Unicredit Bank on a €50m financing granted to Forte Partners. Mihai Dudoiu, Gabriela Anton, Catalin Baiculescu and Stefan Damian are key members of the team and jointly lead the practice.

Ţuca Zbârcea & Asociaţii acts for clients such as Erste Bank, Banca Comercială Română and BRD – Groupe Société Générale on debt and equity capital market matters in addition to regulatory compliance matters. Silvana Ivan leads the team jointly with Stefan Damian and provided regulatory advice to Patria Bank on its attempted acquisition of Piraeus Bank Romania.

Ţuca Zbârcea & Asociaţii advised a multinational telecommunications conglomerate on its multi-billion euro acquisition of another telecommunications company's operations in Germany, the Czech Republic, Hungary and Romania. In a further highlight, it assisted Keysight Technologies with a complex corporate reorganisation following the $1.6bn acquisition of the Romanian subsidiary of IXIA group. Stefan Damian, Cornel Popa and Catalin Baiculescu are the key members of the team, which covers acquisitions, dispositions, financing arrangements, joint ventures as well as corporate advisory work.

  • The Dispute Resolution Review Sixth Edition - Romania

    Disputes in Romania are settled in court in the vast majority of cases, under procedures regulated mainly by the new Civil Procedure Code (CPC). The CPC entered into force on 15 February 2013, has carried out a systemic and extensive overhaul of the Romanian dispute resolution model. With a specific focus on acceleration of trial proceedings, the new regulation has reformed both the schedule and the content of proceedings taking place in various phases of the lawsuit, while attempting to clarify many of the controversies raised by interpretable provisions in the former regulation.
