Goldman Sachs: Counsel in the financing of one of the largest Colombian fintechs. The debtor takes part in the Colombian BNPL (Buy Now Pay Later)-consumer lending market, providing to customers of retail business digital access to credit to fund their purchases.

The debtor, one of Colombia’s most innovative and fast growing fintech in the market, sought to get funding from the lender to enhance their operation. To implement the transaction, the legal team is setting up a Colombian trust that will act as borrower under a credit agreement and all the receivables originated by the debtor from time to time will be transferred to such trust pursuant to a purchase agreement to service the debt.

This legal structure will provide comfort and assurance to all parties involved, given that the trust structure allows to simultaneously shield the lender from most of debtor’s default risks, including bankruptcy, by means of a series of contractual provisions on both the credit and the trust agreement that should prevent the debtor’s operation from affecting the trust in these matters.

This structure allows all parties to benefit from the expertise, experience, and efforts the debtor has been making in terms of cost-efficient and digital mechanisms of collecting the sums owed by their clients.

Livemood, Inc: Counsel in the organization and launch of their social media platform NOWNAW in Colombia, including intellectual property, data protection and consumer protection matters, as well as representing them before the Ministry of Education to execute a sweepstake in the education sector.

We are putting this matter forward because it shows our expertise in privacy, IP, consumer and compliance related matters, tackling complex tech-based projects and their implementation in the country.

In addition, our firm provides legal assistance in different telecommunication matters including:

  • Maintaining and modification of telecommunications and radio broadcasting concessions.
  • Preparation of pertinent application writs for request of radio broadcasting concessions and their transfer or amendment.
  • Preparation of writ of renouncement of telecommunication concession.
  • Application for the transfer of demonstrative permit of digital television, as well as provide regulatory support and operate as a liaison between our clients and the Undersecretary of Telecommunications and other regulatory authorities with jurisdiction on telecommunication matters.

Furthermore, our Telecommunications Area had a highlighted participation assisting in obtaining the required regulatory approval from the Undersecretary of Telecommunications to the Latin America’s first mobile virtual network operator (MVNO) and thereafter, provided assistance to the company in setting up its operations in Chile, including preparation and review of their contracts with providers, suppliers and clients, among others.
