This edition of Flash apprises you with SEBI's circular dated February 08, 2019 ("Circular") whereby it has accepted one more recommendation from the Kotak Committee's report of October 5, 2017. The report contained recommendations on strengthening corporate governance in listed companies and through SEBI (Listing Obligations and Disclosure Requirements) (Amendment) Regulations, 2018 dated May 9, 2018, SEBI had adopted 42 out of a total of 81 recommendations. On another front, the Ministry of Corporate Affairs, through notification dated March 6, 2019 has amended the Companies (Incorporation) Rules, 2014 ("Rules") and the amendments relate to making of an advertisement in case of shifting of registered office.
