Dan Gold

Dan Gold is a partner in the firm’s Litigation practice. His practice focuses on securities class actions, fiduciary duty cases, class actions and other complex commercial litigation matters. He has successfully represented numerous corporations, boards of directors, individuals and financial institutions, including the dismissal of shareholder derivative cases against the directors of AT&T and the dismissal of securities class actions against Tenet Healthcare and ExxonMobil. Dan also obtained denial of class certification and dismissal of all claims in a matter brought by hedge fund investors seeking more than $1 billion in damages, summary judgment in a lawsuit alleging improper competition with the American Airlines Center, summary judgment on a $780 million claim arising from a major telecommunications transaction and denials of class certification in significant consumer class actions for the National Football League (NFL). He also played a leading role in successfully defending the NFL in a jury trial against fraud claims brought by Super Bowl XLV ticketholders. Dan has been recognized for securities litigation by Chambers USA, with clients noting that he is “a really smart lawyer,” an “excellent strategist” and a “great writer,” with “very good common sense” and “problem-solving” abilities. He has also been recognized by The Legal 500 for his work in M&A Litigation, Acritas as an “Acritas Star – Standout Lawyer,” by Thomson Reuters as a “Texas Super Lawyer” and by D Magazine as a “Best Lawyer in Dallas” for Securities Litigation and Enforcement. Dan frequently writes and speaks on issues related to class actions, securities litigation and fiduciary duties. Dan has presented, interviewed and published articles for various organizations and publications, including the State Bar of Texas Annual Meeting, Dallas Business Journal, Bloomberg, Compliance Week, Corporate Counsel, Securities Regulation Law Journal, Business Insurance, DFW Financial Services Counsel Roundtable, Securities Reform Act Litigation Reporter, Law360, UT Conference on Securities Regulation and Business Law, Litigation Section of the State Bar of Texas, Dallas Bar Association Securities Section and the Dallas Bar Association Business Litigation and Antitrust and Trade Regulation sections. For his service commitment, Dan received the I. Zesmer Young Leadership Award from the Jewish Federation of Greater Dallas in 2019 and was honored as the Cardozo Society 2014 Young Attorney of the Year. Alejandro Gordano

Alejandro advises corporations, governments and investment banks on corporate finance transactions, including SEC-registered and exempt debt and equity offerings, credit facilities, restructurings, liability management and structured finance transactions, including diversified payment right securitizations. He also provides SEC-disclosure and corporate governance advice, and has knowledge of the banking, transportation, TMT, biotech, retail and energy sectors. Alejandro has been at the forefront of ESG capital market deals across Latin America, leading a number of ESG “firsts”, including the first emerging-market sustainability-linked bond, the first sustainability-linked bond by a sovereign worldwide, the first international sustainability-linked bond out of Peru, and the first exchange offer in Argentina replacing standard bonds with green bonds.

Catherine Hein

Catherine Hein advises clients on national security matters, including related to the Committee on Foreign Investment in the United States (CFIUS) and the Office of Foreign Assets Control (OFAC).* Catherine helps clients across industries to identify and strategically address potential issues that may implicate CFIUS authorities. She draws on significant experience in cross-border investments and US national security regulatory regimes. Prior to joining Latham, she served as Acting Principal Deputy Assistant General Counsel for Enforcement & Intelligence at the US Department of the Treasury (Treasury), where she supported OFAC and the Financial Crimes Enforcement Network (FinCEN). She previously served as the CFIUS Managing Counsel at Treasury, where she led a team of more than 20 lawyers on foreign investment reviews by CFIUS. In her public service, Catherine advised Treasury leadership and administration stakeholders on policy issues and legal authorities and requirements in connection with foreign investment reviews, economic sanctions, and other US national security matters. She worked extensively on all aspects of CFIUS cases, including non-notified transactions, negotiating complex mitigation agreements, and compliance and enforcement actions. Catherine has worked for US government agencies on financing for international development and infrastructure projects. She began her career as a banking and finance attorney at an international law firm.

Todd Stenerson

Todd is U.S. Head of Antitrust Litigation. Representing both plaintiffs and defendants throughout the courts of the U.S., Todd has played a leading role in matters of importance for three decades. In addition to his extensive antitrust, multi-district litigation and arbitration experience, he has handled investigations by the U.S. Department of Justice's Antitrust Division, the Federal Trade Commission and the U.S. Securities and Exchange Commission. As part of his complex commercial litigation background, he also has handled several dealer termination and RICO cases, as well as business torts, breach of contract and ERISA cases. AV Preeminent-rated by Martindale-Hubbell and a BTI Client Service All-Star, Todd routinely garners praise from clients, peers, the judiciary and industry leading publications.
