Neil McDonald

Neil McDonald is a Partner based in Walkers' London office and leads our Corporate and M&A Group. Neil specialises in corporate and finance transactions involving British Virgin Islands, Cayman Islands and Bermuda law. He has extensive first-hand experience across the full range of corporate matters, including: - Mergers, acquisitions and disposals (including take-privates, business combinations and de-SPACs); - Equity capital markets (including IPOs) and private placements; - Corporate reorganisations and redomiciliations; - Joint ventures; - Digital assets, fintech and new technologies. He also has significant experience on cross-border restructuring and distressed situations involving BVI, Cayman Islands and Bermuda entities, including shareholder and investor disputes, complex equity and debt restructurings, and group reorganisations. Neil also has a broad finance practice covering acquisition finance, real estate finance , debt capital markets, project finance and financial restructurings. He acts for many of the world's leading international financial institutions, as well as borrowers, issuers and other counterparts. Neil also heads up our Israel Group, which provides time-zone sensitive support to clients in Israel across transactions involving Bermuda, BVI, Cayman Islands, Guernsey, Irish and Jersey law.

Catherine  Outerbridge

Catherine Outerbridge

Catherine is a senior counsel in Walkers' London Finance and Corporate Group, advising on a range of matters under Bermuda, BVI and Cayman Islands law. Having trained and practised with a Magic Circle firm in the City, Catherine has experience of both onshore and offshore advice – her practice focuses on corporate and finance matters under Bermuda law, and British Virgin Islands and Cayman Islands law corporate matters. She grew up in Bermuda and has been admitted in the jurisdiction since 2021 and advises on a range of transactional and advisory work, including debt and equity capital markets transactions and banking and finance matters involving Bermuda companies. Catherine's BVI and Cayman Islands law practice focuses on corporate matters, including mergers and acquisitions, reorganisations, investments and redomiciliations involving private BVI and Cayman Islands companies.

  • Advising Coforge Limited on the Cayman law aspects of its US$2.35 billion acquisition of Encora, a digital and software engineering services company owned by Advent International and Warburg Pincus

  • Acting as Bermuda and Cayman counsel to Trident Energy in the acquisition of Chevron’s Congolese subsidiary and its in-country assets

  • Advising GLAS as the security trustee on the Cayman law aspects of Oaktree’s acquisition of Italian football club, Inter Milan

  • Advising Coinbase on the BVI law aspects of its acquisition of Echo, a leading onchain capital raising platform, for approximately US$375 million

  • Advising Sunoco on the Bermuda law aspects of its €500 million acquisition of the TanQuid Group, Germany's largest independent liquid petrochemical storage operator
