Position

Nicolás Herrera Alonso is a partner of the Montevideo office. He leads the Banking and M&A teams in Uruguay. His practice is focused on Corporate Law, Banking Law, Mergers and Acquisitions, Capital Markets, Project Financing and Natural Resources.

Career

Nicolás has vast experience in providing consultancy services to local and multi-national companies in relation to highly complex financial, banking and corporate operations. He assists local and international financial entities on structured financing, project financing and transactions with derivatives, as well as on mergers and acquisitions, capital markets, and general corporate and trading matters.

Among his most outstanding participations in recent years, he led the legal team that, on behalf of Goldman Sachs and Klaff Realty, acquired “Tienda Inglesa”, a supermarket chain of great relevance and tradition in Uruguay. During the last years, he provided legal advice to international banks for the largest financing in the solar and wind energy market; the equity trust legal & financial structuring for the construction of the “Torres Nuevo Centro” building complex. Moreover, he was also in charge of the legal team regarding the acquisition of Créditos de la Casa and Creditel by Santander Bank (Spain), and the local legal structuring for the first-ever PPP investment in Uruguay.

He has been consultant and member of the board of directors at different credit union companies and saving groups. He was part of the board of directors and Audit Committee of Banco Santander S.A. (Uruguay), the largest private bank in Uruguay. Currently, he is member of the executive committee of the Banco Santander S.A. (Uruguay) as a legal counsel and member of the board of directors of Uruwood, a subsidiary of forestry company UPM Uruguay.

  • Softcargo Group: Leading the team in advising this company in the acquisition by Wisetech Global Partners, a global leader software group.
  • Brendisol Trading S.A.: Advising on the share purchase of Brendisol Trading S.A., important company in the clothing sector in Latin America.
  • Tienda Inglesa:  Counselling on the acquisition of Tienda Inglesa, the supermarket chain, representing Goldman Sachs and Klaff Realty.
  • PPP: Leading the legal team which carried out the legal and local financing of the first-ever PPP investment in Uruguay.
  • Créditos de la Casa: Acting as legal counsel in the acquisition of Créditos de la Casa (financial entity) by Banco Santander, (Spain).
  • Energy Projects: Advising on the legal structuring for equity investors in the first two photovoltaic energy projects in Uruguay.
