Career

Arash Khalili is a vigorous deal maker and navigator of complex corporate and commercial transactions across a wide range of industries, including media, entertainment, technology, sports, health, wellness and fitness. Understanding his clients’ motivations and risk tolerance, Arash serves as a trusted business and legal advisor, structuring and negotiating some of his clients’ most intricate deals in the U.S. and abroad, and bringing them successfully across the finish line.

Arash represents both private and public companies, family offices, and high-net-worth individuals, from media, production and technology companies to professional athletes and celebrities, as well as funds, sponsors, promoters and fashion apparel companies. While the media, entertainment, technology, sports (including eSports), and health, wellness and fitness industries continue to evolve, Arash’s execution-oriented approach and unique breadth of experience handling cutting-edge corporate transactions allow his clients to adapt and grow their businesses in today’s advanced data- and technology-driven marketplace. His portfolio also includes mergers and acquisitions, joint ventures, equity and debt financings, brand monetization, cross-border transactions, and corporate governance, as well as general business and dispute resolution-related matters.

The team has particular expertise advising on eSports matters, such as assisting NFL athlete Reggie Bush with corporate, technology, labor, regulatory and IP aspects relating to the establishment of an eSports technology platform. Los Angeles-based Arash Khalili and Brian Socolow in New York jointly head the practice which also includes Douglas Masters in Chicago, who acted for the National Collegiate Athletic Association in trademark litigation against online gaming company Kizzang. The team advised notable client Oprah Winfrey and her company, Harpo, on recent critical investments and strategic partnerships, including the sale of a 24.5%  stake in The Oprah Winfrey Network joint venture to Discover Communications. It also assisted NeuLion, a technology product and service provider, with its agreement to be sold to entertainment leader Endeavor; acted for Clearview Capital Fund II in the sale of its majority interest in GCR, a provider of vertical specific software and services, to an affiliate of HKW Capital Partners; and advised Little Airplane Productions, an Emmy-winning animation studio, on its sale to Studio 100 Group, one of the largest animation and live-action studios in Europe. New York-based Mitchell Nussbaum and Los Angeles' Arash Khalili are co-chairs of the firm's capital markets and corporate practice.
