Career

Giovanna Puppo della Gherardesca, graduated in 1997 cum laude and boasts over 25 years of experience as well as a solid professional and academic background as a business lawyer. She joined Gianni & Origoni in 2001 and became a partner in 2010, the youngest female partner of the Firm at that time. After 20 years at GOP, she joined Grimaldi Alliance as Equity Partner in August 2020 and currently holds the position of Of Counsel. She specialises in corporate governance, M&A, private equity, international contracts, trade, corporate and antitrust law. She has accrued significant experience in transnational transactions, assisting Italian and multinational companies (H&S, automotive, fashion & luxury sectors), on a regular basis, in the negotiation of acquisitions, divestments, investment agreements and shareholders’ agreements, distribution and outsourcing agreements, development strategies abroad (France, Poland, China and UAE). She has been working on gender issues since 2010 and on sustainability since 2016. She has collaborated with the Chair of the Confindustria Technical Group on Corporate Social Responsibility in defining the Programme and Guidelines on Sustainability (Manifesto e Linee Guida sulla Sostenibilità), at the Sustainability Day of Borsa Italiana and with ASviS (Italian Alliance for Sustainable Development) for the Festival of Sustainable Development. Giovanna served as Non-Executive Chairman and member of the Audit Committee of IGEA PHARMA NV, a Dutch company listed on SIX Zurich until February 2022. Since May 2023, she has held the position of Independent Director and Chairman of the Risk and Related Parties Committee of Borgosesia S.p.A., a joint-stock company listed on Euronext Milan (EXM) of Borsa Italiana, specialized in investments in alternative assets as well as their management on behalf of third-party investors. Since July 2023 she is Chief Legal Officer of LastMinute.com Group, a Dutch company listed on SIX Zurich. www.grimaldialliance.com
