("Chiltern Brazil") to the Intercreditor Agreement entered into in connection with a term loan facility pursuant to the terms of a Senior Facilities Agreement granted to parent Chiltern International Ltd. ("Borrower"), a limited liability company of a global group with significant market share in the supporting, researching and coordination of health projects, including the activities of importation, exportation, distribution of pharmaceutical products, Lloyds TSB Bank plc, Haymarket Financial Luxembourg 3 S.a.r.l., Siemens Financial Services, Inc., Bank of Scotland plc, as Lenders, and Lloyds TSB Bank PLC, as security agent.
