On the acquisition front, practice head Daniel Badea recently advised J.C. Flowers & Co on the purchase of Piraeus Bank Romania. Counsel Cosmin Anghel is singled out by clients; he acted for BCR and BRD – Groupe Société Générale on a club loan facility granted to Netcity Telecom. Andreea Sisman is also a key member of the team and specialises in real estate finance and corporate finance and restructurings.

Capital markets Tier 1

Clifford Chance Badea handles the full spectrum of debt and equity capital market products for clients such as Raiffeisen Bank, HSBC and BNP Paribas. Recent highlights include advising Globalworth Real Estate Investment on drafting the prospectus and obtaining relevant regulatory approvals for the listing of a €550m bond on the Bucharest Stock Exchange and assisting Deutsche Bank and UBS Investment Bank with the secondary public offering launched by Alro. Madalina Rachieru-Postolache heads the practice.

Commercial, corporate and M&A Tier 2

Clifford Chance Badea's client roster spans industries such as private equity, financial services, healthcare, pharmaceuticals, IT&C, energy and real estate. Nadia Badea's team covers the full spectrum of corporate and M&A mandates and is particularly well regarded for multi-jurisdictional deals. It advised China Investment Corporation on the acquisition of Logicor, which owns and operates over 630 warehouses and logistics assets across Europe. It also assisted Czech Media Invest with corporate structuring issues arising from the acquisition of Lagardère’s radio assets in the Czech Republic and three other jurisdictions. Counsel Loredana Ralea is also recommended.

Dispute resolution Tier 2

Clifford Chance Badea handles antitrust, healthcare, employment and construction litigation as well as arbitration and public procurement disputes. It successfully represented BRD – Groupe Société Générale in a claim pertaining to interest rate swaps. Simona Neagu, who heads the team alongside Vlad Peligrad, successfully represented Pfizer in a dispute concerning the Romanian Ministry of Health's public procurement procedure for the acquisition of a vaccine.

Restructuring and insolvency Tier 2

Clifford Chance Badea is noted for its ‘extremely professional, knowledgeable and detail-oriented’ team. Counsel Vlad Peligrad, who heads the practice jointly with Daniel Badea, is ‘relentless in pursuing the client’s best interests’. He advised Cris-Tim on its acquisition of insolvent meat processing business, Diavist Process, including its distressed assets. On the restructuring side, the team advised a consortium of banks on the financial restructuring of debt held by a Greece-based manufacturer.

Real estate and construction Tier 4

Nadia Badea’s team at Clifford Chance Badea excels in real estate-related financing and M&A projects. A noteworthy instruction came from China Investment Corporation in relation to its acquisition of Logicor, owner of 630 warehouses and logistics assets across 17 European jurisdictions.
