Competition and antitrust Tier 1
A top name in competition and antitrust matters, Esguerra Asesores Jurídicos’ widely recommended practice is led by academically renowned Alfonso Miranda with Andrés Jaramillo also a key member of the team; both ‘stand out due to their commitment to the client and the timely and accurate advice that they give’. The 11-strong team represented Kimberly-Clark in one of the most complex and high-profile leniency cases in the Andean region, which led to three different cartel investigations relating to diapers, soft paper and notebooks. The company was granted immunity for collaborating with competition authority SIC, a ruling also observed in Peru. However, following a complaint filed by Ecuador’s competition authority, the General Secretariat of the Andean Community of Nations (SGCAN) fined the company $18.3m, a penalty currently awaiting an appeal decision. In other highlights, the firm is acting as legal adviser to Corficolombiana and Episol in an SIC investigation into alleged anti-competitive practice infractions during the structuring and adjudication of section II of the Ruta del Sol infrastructure project. Senior associate Daniel Beltrán is also noted. DuPont, Cerrejón, Deloitte, Chevron and Amazon are active clients.
Litigation Tier 2
Clients highlight the ‘quality of client-lawyer relationship’ and ‘specific knowledge’ that are to be found at Esguerra Asesores Jurídicos. Founding partner Juan Carlos Esguerra, Felipe Piquero and Andrés Jaramillo head the eight-strong team, which is currently defending Coviandina against a claim by Gaseosas Lux seeking the cancellation of the client’s environmental licence for a fourth generation (4G) road expansion project from Bogotá to Villavicencio. Other 2018 mandates included representing Corficolombiana in a highly publicised case based on a prior dispute which seeks the declaration of the state’s responsibility (due to the actions of the Colombian judiciary) for refusing to force Corficolombiana to pay for two financial products. Other clients include Quala, Oleoducto Bicentenario de Colombia, Colombia Móvil Telecomunicaciones and Drummond.
Arbitration Tier 3
Well-regarded boutique Esguerra Asesores Jurídicos represents clients in national and international arbitrations, particularly those related to concessions and public contracts. The team, led by founding partner Juan Carlos Esguerra is representing Oleoducto Bicentenario de Colombia in an arbitral procedure initiated by Canacol Energy Colombia seeking compensation due to the defendent’s alleged breach of an oil transportation contract. Felipe Piquero (‘an effective and precise lawyer and one of the best advisers that we have had the opportunity to work with’) acted for National Infrastructure Agency (ANI) in the arbitral procedure initiated by OPAIN, regarding the application of a contractual clause that provided for a payment of a percentage of the concessionaire’s income.
Corporate and M&A Tier 4
Recommended for its specialised knowledge of the health industry, Esguerra Asesores Jurídicos’ corporate bench was strengthened with the hire of Andrés Parias as director of the practice area; a former legal director of the Agricultural Sector Finance Fund (Finagro), he joined from the Superintendence of Securities, where he was a deputy. Juan Pablo González heads the practice, which recently advised Old Mutual on the acquisition of a Colombian concession company that operates six airports in major and intermediate cities in the country.
Projects Tier 4
Particularly experienced in the structuring and the execution of transport-infrastructure projects, as well as handling associated contractual disputes, Esguerra Asesores Jurídicos’ projects practice is led by transport regulation specialist José Vicente Guzmán, who ‘knows the market and the key players very well’. Recent matters saw him act as arbitrator on a contractual dispute filed by Tranzit against Bogotá’s public transport system, Transmilenio. In other work, the team is representing Drummond in lawsuit arising from a train accident. Associate Luís Miguel Benítez moved to Guzman Escobar & Asociados S.A.S.
Banking and finance Tier 5
Esguerra Asesores Jurídicos has a long-established reputation in securities and regulatory matters, but the practice - under the direction of the highly regarded Juan Pablo González - is increasingly experienced and has a broader offering, and receives praise for possessing ‘knowledge on both legislation and the actual practices of interested parties in the financial sector’. The four-strong practice advised Scotiabank on a Basel III protocols-compliant subordinated bonds issue, the first of its kind in Colombia. Other mandates included representing a broker-dealer in the liquidation of two investment funds due to major fraud caused by a securities originator.
TMT Tier 5
As well as its long-standing reputation in competition law, Esguerra Asesores Jurídicos is known for its activity in the telecoms sector, where head partners Juan Carlos Esguerra and Alfonso Miranda have both served in regulatory and legislative public entities. Recent matters saw the seven-strong practice coordinate Axesat’s interaction with governmental agencies, the ICT Ministry and the Communications Regulatory Commission, including the provision of proper response to information requirements.
