Position

Flávia concentrates her practice on corporate governance, fund formation, securities laws, and compliance.

Flávia is a member of the firm’s corporate department and Winston’s Brazilian Affiliate. Flávia has extensive experience advising public and private companies and private equity firms on corporate governance matters, securities laws, and corporate reorganizations. Flávia has also advised investors in securities class action suits. She is admitted both in New York and in Brazil.

Career

Represented publicly listed companies in corporate reorganizations, reporting obligations relating to M&A transactions, issuance of shares, tender offers, drafting and negotiating shareholders’ agreements, and drafting memorandums. Represented clients in registered and non-registered public offerings of securities in the domestic and foreign capital markets (equity IPO and follow-on, debt, warrants). Represented companies and their managers in compliance investigations. Advised clients in the public offering of securities. Represented a Private Equity firm in the acquisition of 70% stake in health services provider worth US$ 1.3 billion; and advised in sale of stake representing 83% of a Brazilian Sugar and Alcohol company to BP for US$680 million.
