GV Lawyers advised SkyWorld Development (Vietnam) Company Limited – a wholly owned subsidiary of SkyWorld Group, officially inked the acquisition deal for 100% of the charter capital of Thuan Thanh Trading Production and Real Estate Trading JSC, in order to become the developer of a condominium project of 5,206.7 square meters located at District 8, Ho Chi Minh City.

GV Lawyers assisted East Ventures Capital in a legal due diligence and M&A transaction in relation to Medigo Vietnam. Medigo Vietnam is a Vietnam-based telehealth platform that provides on-demand medicine prescription and delivery services. Medigo is the first company in Vietnam to develop a service to order drugs immediately with a pharmacist consultation. With a pharmaceutical retail market size of about $1.6 billion (BMI figures), this is an extremely attractive opportunity for Medigo and its pharmacy partners.

Case #11:
GV Lawyers adviseed Indochina Kajima Development Ltd and its subsidiaries in hospitality investment in Phu Yen province and in industrial infrastructure project in Hai Phong City.

Indochina Kajima Development (UK) Company (“IKDC”) is a joint venture development company between Indochina Capital and Kajima Corporation. Indochina Capital has been operating in Vietnam for over 20 years and has implemented 11 projects nationwide with a total project value of $1 billion including development such as The Nam Hai, Hyatt Regency Da Nang, Six Senses Con Dao and Indochina Plaza Hanoi. Kajima Corporation is an over 170 year old Japanese construction company with an active overseas development division with offices in the US, Europe, Australia, and Asia. Kajima Corporation has a total market cap of $7.5 billion.

Case #12:
GV Lawyers assisted Kusto Home in various legal due diligence to establish the legal situation of the company and M&A transactions in Vietnam. The deal closed in December 2022. Our lawyers have acted as legal advisors for a seller which is shareholder of TTC Green Energy Investment Joint Stock Company (“TTC Energy”), the investor of TTCIZ No. 01 solar power plant located at An Hoi hamlet, An Hoa ward, Trang Bang district, Tay Ninh province, with the capacity of 48 MW, in its transfer of 49% of shares in TTC Energy with a purchaser is Gulf Energy Development Public Company Limited (Thailand). In this acquisition deals, we played quintessential role in efficiently assisting the seller in negotiating with the purchaser and their lawyer teams in Thailand and Vietnam in terms of legal matters provided in sale and purchase shares agreement, and shareholders agreement, providing legal advices on Vietnamese Laws as well as reviewing the relevant transactional documents.
