Stefano Cacchi Pessani

He specialises in M&A, corporate litigation and extraordinary transactions, with particular focus on takeovers in the banking, financial, luxury and infrastructure sectors; restructuring and recapitalization of banks and large financial institutions; public M&A; governance of large listed companies; corporate litigation. Stefano has an extensive experience in the structuring and implementation of complex corporate and M&A transaction and has acquired over more than two decades a deep knowledge of the underlying industries focusing in various sectors, including banking, asset management, insurance and payment services, luxury, infrastructure and air transport. In recent years, he has been involved on the most significant and complex acquisitions, joint ventures and restructurings transactions in the banking and financial industry and has advised important foreign clients and investment funds in cross border M&A and private equity transactions. He also assists funds and institutions in complex corporate and commerciale litigation cases, both in front of the Italian courts and in arbitration. He has been appointed as arbitrator in proceedings relating to M&A transactions.  
Andrea Calvi

Andrea Calvi

Andrea Calvi is the Partner of our Firm’s Financial Regulation Department. He advises clients on a regular basis on banking, payment, insurance and investment services, as well as financial products, including derivatives and collateral arrangements; incorporation, governance and change of control of banks, insurance companies, payment institutions, investment firms and asset managers, including in connection with the performance of activities through a branch or on a cross-border basis; the setting up and the management of collective investment schemes, in particular closed-end or alternative, securities or real estate funds; banking, subordinated or otherwise structured financings; regulatory capital of banks and financial intermediaries. Andrea has an in-depth knowledge of the EU and Italian banking and financial regulations and the international contractual standards. Andrea has also conquered the Fintech sector and has developed a significant expertise in the field of payment services. Andrea gained significant experience in domestic and cross-border transactions involving change of ownership or acquisition of qualifying holdings in all regulated entities. He is an expert in the authorization procedures arising from changes in ownership structure, including cases of shareholdings held by international private equity funds and those related to the incorporation of new regulated entities.Before joining PedersoliGattai (formerly Gattai, Minoli, Partners), Andrea started his career and practiced for over 20 years at the Loiacono e Calvi law firm (previously Loiacono e Associati), one of the first Italian law firms to have chosen – from its foundation – to focus its activities on banking and financial law, specializing in complex and innovative legal matters linked to international finance on behalf of investment banks and other brokers operating in the fields of credit, investment services or asset management. From 2016 to 2017, he worked as a Partner at the Firm Galbiati, Sacchi e Associati.Andrea obtained full marks in his law degree, awarded by Milan’s Università Cattolica del Sacro Cuore in 1994 and has been a member of the Bar Association of Milan since 1999. He has been recognised as a solicitor in England and Wales since 2008.

Marco Galli is Senior Counsel at the Firm.He has led the Data Protection and Data Governance department since 2023 and, as of 2025, he is also responsible for the Space Law & Economy focus group.Described by leading legal directories as “very professional and responsive. A true expert of data privacy,” he advises national and international clients on a wide range of legal matters related to the IT sector, data protection and data governance, with particular experience in the management of complex, high-technology-impact projects and a specialist focus on privacy, cybersecurity and Artificial Intelligence (AI).He graduated in Law from the Università Cattolica del Sacro Cuore in Milan in 2011 and has been admitted to the Italian Bar since 2014. He also obtained a PhD in Intellectual Property and Competition Law in 2016 from the University of Modena and Reggio Emilia, as well as an LL.M. from the University of Turin in cooperation with WIPO. He successfully completed the Federprivacy Master’s programme for Privacy Experts and several advanced training courses in the field offered by the University of Milan.He is a member of the leading international associations in the fields of data protection and technology law, including IAPP and ITechLaw.

He is Partner in the Financial Regulations Department. His activity focuses mainly on financial markets law, asset management and investment funds, advising on regulatory issues concerning banks, financial intermediaries, investment services and collective asset management services, in terms of the rules and regulations applicable to the relevant subjects, typical activities, products and customer relations. He specialises in the asset management and alternative investment funds sector, a sector in which he regularly assists Italian and foreign clients in structuring real estate and private equity transactions through collective investment undertakings (such as funds or Sicaf). He also provides regular assistance with the establishment and authorisation of intermediaries qualified for collective asset management and the management of the relevant organisational, procedural and governance issues, as well as with sanctioning procedures against asset management companies and their corporate representatives.

Carlo Montagna

Carlo Montagna

He specialises in M&A and corporate, with a particular focus on private M&A transactions by Italian and foreign investment funds and industrial players; extraordinary transactions on behalf of listed companies, with a focus on the luxury and sports sectors; commercial and corporate assistance to leading clients in the structuring and expansion of their respective businesses, through capital transactions and joint venture agreements. Carlo has been involved in many of the main extraordinary finance transactions (IPOs, takeover bids, capital increases, mergers, demergers) occurred in the Italian and international markets, starting from the listing of various companies on the Italian and foreign markets (Amsterdam and Hong Kong) to the recapitalization of leading credit institutions. This activity is coupled with a relevant presence in the private M&A sector, with significant acquisitions in the banking and industrial sectors. Carlo then assists on an ongoing basis various companies active in different sectors, including luxury and sports. In the latter field, he has gained significant experience in football clubs, including the management of image rights. He graduated from the University of Parma and has been admitted to the Italian Bar Association since 1995. He is member of the New York Bar since 1997 and holds a LL.M. (C.J.) from the New York University School of Law (1995).

Andrea Zoccali

Andrea Zoccali

Expertise in commercial and corporate law; mainly assistance to domestic and international clients on corporate governance and regular assistance to companies in the structuring and negotiation of extraordinary corporate transactions (M&A) and drafting of commercial contracts (including EPC, D&C and O&M contracts).
