Gernandt & Danielsson advises in Flower Infrastructure Technologies MidCo AB's (publ) ("Flower") issue of secured corporate bonds of SEK 700 million within a framework of SEK 1,000 million. Flower will apply for admission to trading of the bonds on Nasdaq Stockholm. ABG Sundal Collier AB and Nordea Bank Abp acted as joint bookrunners in relation to the bond issue. Gernandt & Danielsson advises in Titania’s issuance of senior unsecured sustainable bonds in the amount of SEK 525 million under a framework of SEK 1,000 million, and in the early redemption of the Company's existing senior secured sustainable bonds 2023/2026. Titania is a real estate company focused on the development of residential properties in the Stockholm region. The company was founded in 2005 and is listed on Nasdaq First North. Gernandt & Danielsson advises in connection with the conclusion of a share purchase agreement regarding the transfer of a majority stake in Rediem Capital AB

Gernandt & Danielsson has acted as legal advisor in connection with the conclusion of a share purchase agreement between TF Bank AB (publ) in its capacity as seller and Alektum Holding AB (publ) as well as Erik Selin Fastigheter AB as buyers, regarding the transfer of a majority stake in Rediem Capital AB. Closing, which is expected to take place on 31 December 2024, is subject to customary approvals from, inter alia, the Swedish Financial Supervisory Authority (Sw. Finansinspektionen). Rediem is a credit market company (Sw. kreditmarknadsbolag) focused on the acquisition of non-performing exposures (so called NPL) and the ambition is that Rediem on 1 January 2025 will be able to obtain the status of a so called specialised debt restructurer (Sw. specialiserad skuldomstrukturerare). TF Bank has previously transferred NPL portfolios to Rediem and Alektum Holding intends to transfer its NPL portfolios to Rediem after closing and during the first half of 2025. After these transfers, Rediem's total NPL portfolio is estimated to amount to approximately SEK 7,500 million. Gernandt & Danielsson advised a consortium led by entrepreneur Kamjar Hajabdolahi, CEO and founding partner of BLQ Invest, on financial regulatory matters in connection with the acquisition of Klarna Checkout from Klarna. The buyers, who took ownership of Klarna Checkout on 1 October, will operate the business under the new name Kustom. Klarna Checkout is a digital checkout solution for e-commerce. The solution was launched in 2012 and is a market leader with over 40 per cent market share in Sweden and over 20 per cent in the Nordic region. Gernandt & Danielsson advises Anatom in connection with acquisition of additional shares in BioGaia

On 20 March 2025, Anatom Holding AG and other separate entities, all owned by different members of the Kahane family, entered into agreements to acquire class A shares and class B shares in BioGaia AB from Annwall & Rothschild Investments AB, another member of the Rothschild family and David Dangoor (BioGaia’s Vice Chairman). The transaction is conditional on the approval by the Swedish Inspectorate of Strategic Products. Before completion, certain class A shares sold under the transaction shall be converted into class B shares based on a conversion clause which will be introduced to BioGaia’s articles of association after approval at BioGaia’s upcoming annual general meeting. After completion of the transaction, Anatom will own 7.3 per cent of the shares and 18.7 per cent of the votes in BioGaia. The other acquiring entities will own 3.7 per cent of the shares and 9.3 per cent of the votes in BioGaia. BioGaia’s class B shares are listed on Nasdaq Stockholm. On 31 March 2025, a bid consortium consisting of EQT X and First Kraft announced a public cash offer to the shareholders of Fortnox Aktiebolag. The offer values all shares in Fortnox at SEK 54.9 billion. The board of directors of Fortnox recommends the shareholders to accept the offer. Gernandt & Danielsson has represented Carnegie Investment Bank against the Swedish Financial Supervisory Authority in a case concerning the Market Abuse Regulation (MAR)

Gernandt & Danielsson has represented Carnegie Investment Bank in a case against the Swedish Financial Supervisory Authority (Finansinspektionen) concerning the interpretation and application of the Market Abuse Regulation (MAR). The case is pending in the Supreme Court, which has requested a preliminary ruling by the European Court of Justice. The case concerns whether information about an individual being listed in an insider register can in itself constitute insider information. This raises questions about, inter alia, how banks are able to act when pledged shares need to be sold to reduce credit exposure – and if incorrect or incomplete insider information can create particular problems or advantages in the financial market. Gernandt & Danielsson has advised BlackRock on their acquisition and also the financing of a logistics property in Vaggeryd, Jönköping. The transaction took place through the acquisition of the shares in the property-owning company, and involves the development and construction of a modern parcel terminal for the tenant PostNord. PostNord is investing SEK 1.1 billion in the new high-tech and sustainable terminal, which will be able to process 25,000 packages per hour, achieving the highest capacity in Sweden. The parcel terminal is expected to be finished in Q2 2027. The operations of De Lage Landen Finans AB's Danish and Finnish branches will continue under local registrations. Industrikraft i Sverige AB, an industrial consortium, has signed an agreement with Vattenfall AB to acquire 20 per cent of the shares in Videberg Kraft AB. On 25 June 2026, Orrön Energy AB (publ) announced that it has agreed to sell its Nordic renewable energy platform (excluding the Karskruv wind farm) to Cloudberry Clean Energy ASA. The purchase price consists of a combination of cash and shares corresponding to approximately 27 per cent of the total number of shares and votes in Cloudberry. The transaction values the divested operations at an enterprise value of EUR 234.6 million. The Swedish State has entered into an agreement to acquire 60 per cent of the shares in Videberg Kraft AB, a joint venture with the Industrial Consortium Industrikraft i Sverige AB and Vattenfall AB as other shareholders. Videberg Kraft AB intends to build and operate new nuclear power reactors on the Värö Peninsula in Varberg Municipality. The Swedish state, Industrikraft and Vattenfall AB have agreed on the main terms and conditions for risk-sharing and financing of the nuclear power project, including state aid that the government must notify to the European Commission for state aid review.
