ジョーンズ・デイ・コメンタリー：米国司法省、企業側の自主的な情報提供と協力を狙い海外腐敗行為防止法の試験プログラムを発表
米国司法省(DOJ)は本年4月5日、海外腐敗行為防止法(FCPA)の執行について1年間の試験プログラムを発表しました。同プログラムでは、FCPA違反行為について企業による自発的な情報提供や当局への協力や改善を促進するため、企業側の全面的な協力を条件として、訴追の回避や最大５０％の罰金減額、コンプライアンス・モニタリングの回避などのインセンティブが提供されています。しかしながら、企業側はDOJへの自主的な協力を行う前に、同プログラムが適用される条件やメリット、自主的な情報提供等によるリスクを慎重に検討する必要があります。
近時、海外事業がますます増加している日本企業においても、米国FCPA対策は非常に関心の高い分野と考えられることから紹介します。
