The Department of the Registrar of Companies and Intellectual Property (DRCIP) has issued an updated notice on 16 September 2026 regarding the Beneficial Owners Register (BOR), setting out the annual confirmation requirements applicable for 2026.

A foreign company establishing a permanent presence in Cyprus will usually consider either registering a branch or incorporating a Cyprus subsidiary. Both structures permit business to be carried on from Cyprus, but they are legally different. A branch remains part of the foreign company, while a subsidiary is a separate Cyprus company even if the foreign parent owns all of its shares.

Cyprus companies with overdue annual returns and financial statements now have until 31 December 2026 to bring their filings up to date following the Registrar's extension announcement. Directors should work backwards from the filing date to identify missing records, reconcile balances, and complete financial statements, with transaction companies receiving priority attention. Missing filings can create immediate problems when businesses need finance, buyers begin due diligence, or groups plan restructuring

Directors of Cyprus companies are not automatically liable for company debts simply by virtue of holding office, as the company exists as a separate legal person. However, personal liability can arise through guarantees, personal undertakings, fraudulent conduct, misapplication of company assets, or specific statutory provisions relating to tax, VAT and social insurance.

In July 2026, the Cyprus Business Development Organisation Law 2026 (Law 124(I)/2026) was enacted, providing for the establishment and operation of the Cyprus Business Development Organisation (the “Organisation”).

A Cyprus share sale changes who owns the company; it does not give the company a clean slate. The contracts, employees, licences, assets and liabilities stay with the same legal entity. So do its tax exposures, defective records, disputes and compliance failures. The buyer acquires the shares and, through them, the economic consequences of the company’s past.
