外商投资，是指外国的公司、企业、其他经济组织或者个人依照中华人民共和国法律的规定，在中华人民共和国境内进行直接或间接的投资活动。无论是涉外重组收购，还是境外上市，对外投资都是境内外各方（包括但不限于监管机构、投资方等）重点关注的部分。笔者将结合中国境内企业在境外上市过程中主要适用的外商投资方面的法律法规以及笔者在境外上市服务过程的部分经验，就相关规定的主要关注点予以简要分析小结，以期抛转引玉。由于内容较多，相关小结将分为上、下两篇文章。本文为上篇，主要内容包括：主要法律法规、重点关注点（外商投资准入、10号文与97红筹指引）。
