Capital markets Tier 2
At Stocche Forbes Advogados, ‘delivery is fast’, ‘lawyers put themselves in the position of the client’ and ‘partners participate in every step of transactions’. A strong performer in debt securities transactions, the group also acts on equity offerings, investment funds-related matters, structured finance deals and regulatory issues. Rio de Janeiro-based Frederico Cursino de Moura had a busy year on behalf of energy issuers, which included advising Centrais Elétricas do Pará - CELPA on its R$1bn offering of debentures. On the underwriter side, Marcos Ribeiro advised Banco Santander (Brasil), Banco Itaú BBA, Banco Bradesco BBI and Banco BTG Pactual on Eletropaulo Metropolitana Eletricidade de São Paulo’s R$3bn debentures offering. Experienced names Henrique Filizzola and Rana Moraz are also highly regarded, while ‘very responsive and specialised’ senior associate Thadeu Bretas is a rising star.
Corporate and M&A Tier 2
The 'client-oriented' team at Stocche Forbes Advogados is noted for its 'technical proficiency' and 'initiative in anticipating issues'. Private equity is an area of focus and the team represents well-known domestic and international firms. Other sectors keeping the team busy include energy and real estate. Flavio Meyer acted for Engie Brasil Energias Complementares Participações in the acquisition of the Umburanas wind farm complex from Renova Energia in a transaction that had significant regulatory components. The firm also has a dedicated desk for public listed companies, which provides capital markets and regulatory assistance. Recommended partner Alessandra Zequi has broad experience in M&A, corporate governance, shareholder relations and regulatory requirements. André Mestriner Stocche, Fabiano Milani and Fernanda Cardoso are also names to note, but Luiz Felipe Costa moved in house as managing partner of DNA Capital. At the associate level, Ricardo Peres Freoa, Diego Henrique Paixão Spenchutt and Bruna Bellotto receive praise.
Projects and infrastructure Tier 2
The 'efficient' team at Stocche Forbes Advogados is best known for corporate, financing and restructuring transactions in the infrastructure sector. Of late, the group has been particularly busy with energy sector projects: long-term client CELSE relied on it for the financing for the development, construction, operation and maintenance of a combined-cycle thermal power plant, for example. Guilherme Forbes and Miriam Signor are stand-out names in São Paulo, while the team can also count on project finance experts in Rio de Janeiro.
Banking and finance Tier 3
Among Stocche Forbes Advogados' key attributes, sources highlight its 'great track record in banking and finance deals', its 'very strong knowledge of the market and regulatory regime' and also its 'partner-led service'. A prominent player in borrower-side mandates, the group is particularly commended for its 'experience in dealing with complex deals involving different lenders, financing instruments and security packages'. Among the team's highlights, Rio de Janeiro-based Frederico Moura advised Xingu Rio Transmissora de Energia (a Brazilian vehicle controlled by China's State Grid), on a long-term financing from Brazilian National Development Bank BNDES. In Sao Paulo, Marcos Ribeiro advised Nordea Bank on the local aspects of its credit line to Norskan - the security package included assets from Norskan's subsidiaries around the world, including its Brazilian subsidiary. Other key names include Guilherme Forbes ('hands-on and technically excellent'), Miriam Signor ('very knowledgeable and one of the most dedicated and detailed-oriented lawyers around') and Henrique Filizzola — all are based in Sao Paulo.
Competition and antitrust Tier 3
Stocche Forbes Advogados' lawyers 'have deep knowledge and wide expertise' and 'understand clients concerns and expectations'. They handle high-profile merger filings - where the firm has a good market share - before CADE and a range of behavioural matters. Highlights in the latter area included advising a major Brazilian company before CADE on five cartel cases connected to the Lava Jato investigation. Practice head Paulo Leonardo Casagrande is 'a star in competition law'; 'besides his technical knowledge, he is very hands on and committed to the client's matters'. 'Excellent attorney' Ana Paula Paschoalini 'responds quickly and accurately'. The team also collaborates with the firm's compliance and white-collar lawyers. Since publication, Casagrande has left to join Trench Rossi Watanabe.
Real estate Tier 3
Alexandre Laizo Clápis leads the team at Stocche Forbes Advogados, which is particularly active in rural and urban real estate acquisitions. In a recent highlight, a mixed corporate and real estate team advised GTIS Partnerson the acquisition of land for the development of logistics warehouses. Fernanda Rosa combines broad expertise in litigation and real estate.
Bankruptcy and restructuring Tier 4
Stocche Forbes Advogados has a notable creditor-side restructuring practice. Illustrating its commitment to this area, the firm promoted Guilherme Gaspari Coelho to partner in December 2018. He was involved in advisng an ad hoc group of bondholders in the judicial reorganisation of the Tonon Group, and also worked alongside Guilherme Forbes to advise an ad hoc committee of lenders on the $1.6bn restructuring of Samarco Mineração. However, firm founding partner and department head Domingos Refinetti left the firm having reached its mandatory retirement age; he has moved to Wongtschowski & Zanotta Advogados as an associate counsel. Frederico Moura is a key contact in Rio de Janeiro.
'Excellent firm' Stocche Forbes Advogados provides 'client-driven solutions for the problems which clients face'. In the white-collar crime arena, the firm impresses with its 'responsiveness and sophistication, particularly in global white-collar cases involving multiple jurisdictions'. Household name companies -both Brazilian and international- turn to the team for representation in complex disputes, including those with stakes exceeding the R$1bn mark. Clarissa Oliveira, who was promoted to partner in 2019 and heads the white-collar and corporate investigations practice, is a 'staggeringly good lawyer and client manager'. Rafael Passaro draws on 19 years' experience in civil litigation and litigation prevention; however, the firm lost Domingos Refinetti's wide-ranging contentious expertise when he moved to Wongtschowski & Zanotta Advogados in August 2019.
Tax Tier 5
Stocche Forbes Advogados has a notable transactional tax practice and also handles a range of stand-alone tax matters. The team is noted for its 'collaborative' approach, with Renato Coelho highly recommended ad Marcos Vinícius Passarelli Prado and Paulo César Teixeira Duarte Filho also noted as key contacts. In an important strengthening of the practice, Renata Emery -who focuses on consultancy, tax planning, and administrative and judicial litigation- joined from his own firm, along with his team, in Fabruary 2019.
