Banking and finance Tier 1
Gómez-Pinzón Abogados (GPA)’s 20-strong practice group handles sophisticated and innovative matters across the full range of banking, finance and capital markets transactions, including complex, cross-border deals. Ricardo Fandiño heads the department, which recently acted as Colombian counsel to a banking syndicate comprising Banco Nacional de México, Santander, Scotiabank Perú, Cofide and Bancapital on the financing granted to Grupo Auna for the acquisition of Grupo Las Américas and the refinancing of Peruvian healthcare institution Oncosalud. Managing partner José Luis Suárez advised Scotiabank and Mizuho Bank on granting a credit line of up to $665m to Ecopetrol for corporate financing. Daniel Londoño, Adriana Moreno (who has over 20 years’ experience in capital markets and heads the firm’s Medellín office) and senior associate Cristian Cruz are also key members of the team. Other clients include JP Morgan, Goldman Sachs, Credit Suisse, Sura Asset Management and Deutsche Bank.
Competition and antitrust Tier 1
Mauricio Jaramillo, whom market sources recommend in particular for his handling of restrictive practice cases, leads the eight-strong practice at Gómez-Pinzón Abogados (GPA). With support from senior associate Victor Ayalde Lemos, Jaramillo advised Procter & Gamble on an SIC investigation against four major companies for unduly restricting invoice circulation in the factoring markets; in a rare decision, in September 2018 the competition authority accepted a consent decree to close the investigation without any penalties. In other work examples, the team assisted Aseo Urbano with the merger control assessment and filing before the antitrust authority regarding its acquisition by Veolia. Other clients include Tetra Pak, Argos, Valorem and ExxonMobil. Associate Natalia Franco is also a name to note.
Corporate and M&A Tier 1
Affinitas’ Colombian member firm, the full-service Gómez-Pinzón Abogados (GPA) has long been a mainstay of the corporate and transactional market. The 29-strong practice group is co-led by the highly regarded Andrés Hoyos; he led advice to Hydro Global Investment (co-owned by China Three Gorges Corporation and EDP Energias de Portugal) on the acquisition of 80% of the equity rights of Talasa Projectco and Talasa Conexion. Hoyos' fellow practice co-head, Pablo Rabelly, led the reorganisation of Mallplaza Colombia (part of Chile’s Mall Plaza group), involving the negotiation of investors' agreements with the minority shareholders of the various companies involved in the reorganisation and the incorporation of a private investment fund. Patricia Arrázola, Natalia García and Felipe Mariño are also key names in the practice. However, senior associates Ángela García Páez and Cristina Copete moved to Brigard Urrutia and Garrigues, respectively, in early 2019.
Litigation Tier 1
The ‘results-oriented’ Gómez-Pinzón Abogados (GPA) is ‘outstanding in getting to know the business in order to give in-depth legal opinions, and not just providing off the book concepts and recommendations’. A very well-reputed figure in the field, William Araque heads the 16-strong team, with David Araque as co-director of the dispute resolution and investment protection practice. Both are particularly recommended for - among other skills - developing ‘relationships of trust generating a strong synergy’. The practice is continuing to act for Chevron on a $20m domestic litigation regarding the tariff that gas transporters or producers in Colombia may effectively charge purchasers. The case is particularly sensitive since it also involves the interpretation that the relevant regulatory body (Creg) has of the tariffs system. In other work, the team successfully represented Compañía Minera Cerro Tasajero, in the first and second instances, in a dispute arising out of a breach of a port-operation services contract. Clients include Honeywell, OHL, Refinería de Cartagena and Servientrega.
Projects Tier 1
Gómez-Pinzón Abogados (GPA) is strongly recommended for its integral analysis of complex infrastructure projects, such as Bogota’s first metro line, in relation to which the team is advising Empresa Metro de Bogotá on day-to-day matters, in particular the revision of loan and concession agreements, licensing matters, procurement and operations. Jose Luis Suárez and senior associate Paola Larrahondo (director of projects), co-lead an 11-strong team, with senior associates Diana Bogotá and Juan Ucrós also noted. Firm senior partners Ricardo Fandiño, Germán Villamil, Paula Samper and Patricia Arrázola all participate extensively in the sector, giving additional bench-depth. The practice was selected by the National Department of Planning, as part of a consortium with EY, to study the feasibility of a PPP project for the implementation of a 100% electric bus transportation system on the islands of San Andrés and Providencia in the Caribbean. Tax Tier 1
With extensive experience in tax planning for M&A operations and in tax litigation, Gómez-Pinzón Abogados (GPA) offers a ‘high added-value’ service. Mauricio Piñeros heads the ten-strong practice, with Álvaro Andrés Díaz (who focuses on litigation and transfer pricing), Ignacio Vélez and senior associate Carolina Bobillier also pivotal members of the practice. Recent matters saw the team advise Bavaria on a tax proceeding relating to equity tax and legal stability contracts, a significant matter since it signalled the beginning of tax disputes concerning the application of the country’s 2011 legal stability law to tax matters. The team also advised Mall Plaza Colombia on the restructuring of its real estate assets and on their transference to a private equity fund. Other mandates included assisting Grupo Aval with designing the structure and implementing the reorganisation of the loyalty programme covering all the banks under the client’s control – Banco de Bogota, Banco AV Villas and Banco de Occidente. Other clients include Almacenes Éxito, Ecopetrol, Metro de Bogotá, Booking.com International and Valorem.
Arbitration Tier 2
William Araque, who ‘stands out for his broad knowledge in arbitration’, leads the 16-strong team at Gómez-Pinzón Abogados (GPA), which acts for both private and state parties in national and international arbitration proceedings. Acting in conjunction with David Araque, he recently led the successful advice to IGT Games in arbitration proceedings involving state entity Coljuegos concerning an alleged breach of concession contract by IGT and the use of the "Baloto" brand. In other work, the team continues to represent Reficar in two arbitration procedures against EPC contractors and supervisors. Senior associate Natalia Castellanos is also noted.
Energy and natural resources Tier 2
Gómez-Pinzón Abogados (GPA) works in all key segments of the energy and natural resources space with a multi-disciplinary team that ‘comprehensively addresses’ all issues that arise in each stage of a project, ‘especially in Colombia where the normality is complex’. Leading lawyer Patricia Arrázola heads the eight-strong practice with Germán Villamil, leading on oil and gas, and head of environment Lina Uribe also key names. Their ‘availability is crucial for making decisions in an agile and safe way’, according to clients. The team advised Ecopetrol regarding the acquisition of four offshore technical evaluation agreements, one of the first offshore farm-out transactions in the country. In the power market, the firm gave advice to clients participating in energy auctions, including the first long-term PPA auction in Colombia, held in January 2019. In one recent mandate, the team assisted Termocandelaria with all matters related to its gas turbines conversion, as well as participation in the reliability charge auction and securing firm energy obligations. The practice renders comprehensive advice for the development of renewable energy projects, both solar and wind-powered; Sunco Capital, SGEIC and Invenery were advised on investing in photovoltaic projects, including the acquisition of real estate for the project’s development, the structuring and negotiation of PPAs, and tax. Clients include Iberoamericana de Hidrocarburos, Oleoducto de Colombia, ABB and Canacol Energy.
Intellectual property Tier 2
Providing an ‘excellent overall service’, Gómez-Pinzón Abogados (GPA)’s department offers ‘quick and effective’ advice across the whole IP spectrum. The 16-strong practice is led by Mauricio Jaramillo, with senior associates Juanita Pérez and Catalina Arango also key members; all are recommended. The team acted for Mobility View, recently, successfully undertaking the prosecution of a PCT patent application (relating to methods for apportioning operations and associated costs of computing devices) that had previously been rejected. Real estate Tier 2
Gómez-Pinzón Abogados (GPA) has one of ‘the few real estate and urban law teams in Colombia with all the necessary capabilities’ – including the acquisition and sale of properties, due diligence, real estate project structuring, fund formation and sector-related litigation. The practice also handles specialised land use matters. A ‘great lawyer’ with ‘market-attuned vision’, Paula Samper leads an eight-strong team that has noticeably rounded out its offering as a result of developing its capabilities in the urban development segment. Felipe Mariño led the temporary management of Ciudad Lagos de Torca (in Bogotá), a 1,800-hectare macro urban-development project. Samper led the advice to Titularizadora Colombiana regarding the acquisition of several real estate assets from Banco Davivienda; the mandate involved the drafting of the title-search report, including the review of chain-of-ownership up to 20 years back, the review of applicable urbanisation law for each asset and recommendations for the closure of each securitisation process. Senior associates Camilo Cantor and the ‘recommended’ María Camila Parra are also key members of the practice. Clients include Amarilo, Constructora Bolívar, PriceSmart, Corredores Davivienda and Jaramillo Mora.
TMT Tier 2
With a team that is ‘very proactive when solving difficult cases’ and that ‘always has the best solution for the client’, Gómez-Pinzón Abogados (GPA)’s TMT practice is ‘excellent’; it also advises on all major areas of data protection and information privacy. With over 25 years’ experience, the highly regarded Mauricio Jaramillo heads the six-strong team. The hire of senior associate Andrés Fernández De Castro, who has experience acting on contractual, contentious and regulatory matters for telecoms clients, as well as of an additional associate, has ensured continued strength despite the departure of former senior associate July Galindo to undertaken an LLM. The team continues to advise Google on multiple issues concerning its operations in the country, with matters including advice in relation to data protection and online intermediary liability, and on different technology matters regarding the company’s online tools and their administration. Other work saw the team advise Honeywell on its registration as an authorised satellite capacity provider in Colombia, and assisting project Construya, a web platform technology initiative developed by Cementos Argos to promote and consolidate its goods and consumer/client network. Cisco, Schlumberger Surenco, Bancoomeva and PayU Colombia are also on the team’s client roster.
Gómez-Pinzón Abogados (GPA) is recommended for its ‘expertise in free trade zone matters’ as well as the 'availability and support’ the practice brings. Noted senior associate Nicolás Potdevin Stein heads the practice, which provides permanent advice to Cementos Argos - among other clients - on foreign trade operations, free trade zone compliance, filings and proceedings before Colombian authorities. Similarly, the firm advises Procter & Gamble on matters related to customs and international trade, including customs planning, the modification of import returns and the rules of origin regulations of free trade agreements. Acting principally for major Colombian and foreign companies, Gómez-Pinzón Abogados (GPA) handles litigation and social security-related matters as well as having experience in matters such as the structuring of employment agreements and compensation schemes. Led by senior associate Patricia Vergara, the four-strong department undertook the defence of Drypers Andina and Protisa Colombia in a suit brought by the family of a deceased employee, successfully reaching a compensation settlement and the clients’ full exoneration of any responsibility. Other 2018 mandates for the practice included organising the retirement plan of over 150 CODAD employees prior to the closing of its operations.
