International trade and customs Tier 2

The busy and buoyant international trade practice at Mundie e Advogados is led by experienced partners Carol Monteiro de Carvalho and Andrea Weiss Balassiano. In recent work, the pair advised Viasat on the customs structure to import equipment for a project to provide high-speed communications services across the country. On the investigations side, the team advised Nitriflex on the antidumping investigation on imports of nitrile rubber from France and South Korea.

Competition and antitrust Tier 4

At Mundie e Advogados, Enrico Spini Romanielo was promoted to partner in 2018 and now heads the competition department. The 'extremely specialised' and 'very commercial' team demonstrates 'dedication and attention'. Highlights on the M&A side included acting as local counsel to Altra Industrial Motion in its global asset acquisition from Fortive; Rodolpho Protasio led the team. Protasio also took a lead role in representing logistics company Multilog in its acquisition of Elog from Ecorodovias. Also in the team are Ana Cristina Moraes and Eduardo Zobaran.

Regulatory & Infrastructure: The firm advises on matters covering all aspects of regulated industries, including telecommunications, electric energy, oil & gas, air, maritime and land transportation, ports, airports, mining, financial services, means of payment, banking and insurance. In relation to telecommunications, it has been involved in almost every relevant project in Brazil and has contributed to proposed rule-making for the regulation of telecommunication services. With regard to energy, the firm handles all types of contractual and regulatory matters in the area, including the structuring and implementation of generation and transmission projects, the granting of concessions and authorisations, and the preparation and negotiation of power purchase, gas supply and other agreements. The firm specialises in public bids and governmental contracts. It has participated in numerous public bids and privatisations.

M&A/Corporate & Private Equity: The firm has a very strong M&A and corporate practice, routinely representing clients (sector players, investors, including PE and VC investors, and owners) in transactions in virtually all areas and industries. The firm advises on every aspect of corporate activity, including the drafting and negotiation of all types of agreements, structuring of foreign and local investments, organisation of companies, funds and joint ventures, mergers and acquisitions, due diligence, real estate, as well as technology transfer and technical assistance arrangements. Given the regulatory capabilities of the firm, the M&A/corporate group of the firm has extensive experience in M&A/corporate transactions in regulated sectors.

Capital Markets & Finance: The firm has extensive experience in capital market and finance, having participated in the structuring of several financings involving foreign lenders, the local capital market and international and Brazilian credit agencies (including BNDES), as well as debt and equity securities issuances and offers and trade financing  facilities. The firm has handled a number of financings, including debt securities issuance, vendor financing and project finance, particularly in infrastructure areas.

Competition: The firm is very active in antitrust matters, mainly cartel and unilateral conducts investigations. The firm also has a very strong practice in merger control, having assisted clients in numerous and complex cases. Finally, the competition team also advises clients in antitrust compliance matters, including the preparation of tailor-made programs and training.
