Tax: local firms Tier 1
Amazon, Google and Netflix are just a few new names which recently instructed the tax team at Yulchon. The boost to the firm's client roster was accompanied by several key arrivals from both in-house teams and rival law firms; particularly of note is Joo Heon Lee who joined from Seoul Bankruptcy Court in March 2019. Approximately 50% of the tax practice is comprised of aggressive tax litigation, with the remainder a roughly even split between tax audit work and M&A-related tax structuring and advice. A specialist transfer pricing sub-practice is another hallmark of the department; Dong Hoon Ha is the name to note on this front. Key contacts Seok Hoon Kang and Dong Soo Kim are joint practice heads.
TMT: local firms Tier 1
Yulchon's cross-practice TMT offering comprises practitioners from the firm's broader corporate and finance, administrative, IP, antitrust and regulatory departments. The group is known for working on mandates involving particularly innovative technologies such as big data, artificial intelligence (AI), fin-tech and alternative payment methods. Major names in the telecommunications and media spaces, such as SK Telecom and SBS Media, also feature on the firm's enviable roster. Practice head Doil Son regularly represents these entities. Regulatory specialist Sun Hee Kim is also recommended, as is administrative law expert Seung-Min Lee.
Hee Woong Yoon and Sung Bom Park together head up the antitrust and competition department at Yulchon, which regularly assists clients with cartel and Abuse of Dominance investigations, and issues related to unfair trade practices and deceptive advertising. In addition to high-profile behavioral cases of this kind, the practice group also handles high-value merger clearance mandates for blue-chip corporations operating in a wide range of sectors including aviation, industrial, pharmaceuticals, manufacturing and electronics. Chevron Corporation and Abbott Laboratories are two impressive new additions to the team's enviable client roster. Cecil Chung is the name to note for international antitrust work. Capital markets: local firms Tier 2
Yulchon handles both debt and equity capital markets issues. It advises issuers and underwriters on the offering process, raising capital and regulatory issues. Other areas of expertise include block trades, IPOs, bond issuance and securitization. Kyu Sik Kim is recommended for his experience in financial regulation, structured finance, project finance, M&A and acquisition finance. Associate Soo Yeon Choi is also recommended.
Although Yulchon has a historical reputation undertaking corporate and M&A work for Korean companies, it also demonstrates strong capabilities advising foreign multinational corporates on inbound investment transactions, as was illustrated in 2018 when Tehyok Daniel Yi, Hyun Chul Cho and Joon Hyung Kim led the advice to L'Oréal on its acquisition of Korean cosmetics and fashion company Nanda. Work for domestic and international private equity funds is another mainstay of the practice; Chung-In Anthony Choi, Jae Hyun Park and Myung Jae Lee were among the advisers to KKR on a strategic partnership with Shinhan Financial Group to seek investment opportunities abroad. Young Su Shin is experienced in M&A between financial institutions. Elsewhere, the team provides support on ancillary matters, such as antitrust and regulatory issues, corporate governance and licensing. Seungyul Shawn Yum is recommended.
Insurance: local firms Tier 2
Yulchon's fast-growing insurance and reinsurance practice has gained momentum since 2012, with it increasingly being sought out to advise on regulatory issues, M&A, corporate restructurings, claims coverage, tax, insolvencies and competition. In addition, insurance-related disputes are another mainstay of the practice. Young Su Shin, who heads up the team, has over 18 years of experience of the insurance arena. Managing partner Hee Woong Yoon, Doil Son and Sung Wook Eun are among other notable individuals in the group. Hyeon Hwa Shin and Yun Jae Baek are also recommended. The team is currently assisting Lotte Group with the sale of Lotte Insurance. In 2018, a highlight involving assisting Samsung Fire & Marine Insurance with preparing the first cyber-insurance policy package in English ever to be developed for sale in Korea.
A significant uptick in trade secret matters is evident at Yulchon's IP department. In order to meet this demand, the firm has developed a devoted trade secrets subgroup which is headed by Hyeong Joo Lim. Lim boasts a track record of representing clients in patent infringement cases before the supreme court. The group is reputed for fostering strong relationships with major players in the healthcare and pharmaceutical sectors, although it also regularly services clients in the consumer electronics, software, specialty chemicals and steel sectors. International arbitration Tier 2Yulchon has a broad international dispute resolution practice, which covers all aspects of arbitration cases, including related court proceedings. Underlining its credentials in cross-border disputes, the team comprises of practitioners with experience of working at international law firms in jurisdictions worldwide. It has vast experience of representing clients in cases involving all major international arbitral institutions, such as ICC, LCIA, SIAC, HKIAC, AAA/ICDR, KCAB, CIETAC, VIAC, SHIAC. It also appears brought before ad hoc bodies under the UNCITRAL rules. Yun Jae Baek co-chairs the practice with senior foreign counsel Andrew White. White specialises in construction-related matters. The real estate practice at Yulchon covers the full gamut of domestic and cross-border transactions, fund formations and financing deals, and provides comprehensive tax and project finance advice through its cross-practice approach. Some of the key names to note include Bong Hee Han who primarily practices in the areas of real estate, M&A, finance and overseas investment, Tae Jin Cha and Jin Seok Choi who sits in the corporate and finance group. Ju Bong Park spearheads the construction and real estate practice with the support of firm co-managing partner Hee Woong Yoon. Geen Kim recently joined from Lee & Ko and specialises in financial investment products, collective investment schemes, real estate investments and cross-border investments.

Shipping: local firms Tier 2
Yulchon undertakes a mix of contentious and transactional (particularly ship finance and restructuring) mandates for clients. In 2018, Christopher Joon Tae Cho and senior foreign counsel Seung Keun Park advised Korea Trade Insurance Corporation (K-Sure) on the restructuring of Seadrill Limited, which included its Chapter 11 filing with the US Bankruptcy Court for the Southern District of Texas. Another highlight saw Cho, Park and others act for Hana Financial Investment/Hyundai Asset Management on its subscription to $82m bonds issued by MPC Container Ships (MPC), the proceeds of which were used by MPC to acquire container ships. Geen Kim is also recommended.
The ability to advise banks as both lenders and borrowers on a broad range of transactions distinguishes the corporate and finance practice group at Yulchon. Mandates related to structured finance, finance-linked derivatives, asset-backed securitization, real estate finance, acquisition finance, asset finance and project finance all fall within the remit of the team. Under the leadership of Sang Wook Cho, the labour and employment practice at Yulchon has significantly strengthened its capabilities in the area of labour inspections through the addition of senior advisor Ji Weon Jeong from the Ministry of Labour and Employment. On the international front, the group conducted several significant sexual-harassment and workplace harassment investigations, advised on restructuring projects, carried out several wage-and-hour compliance reviews, and assisted multinational corporates with the reduction of their exposure to employee-recharacterisation risk respecting their service providers.
