Azwar Hadisupani Rum & Partners’ tax practice is led by Irawady Azwar, Zaka Hadisupani Oemang and Abdul Haris Rum, and has recently been handling a number of contentious tax matters, including advising on judicial reviews in the tax court.

AHRP Advises Government of DKI Jakarta

Client: Government of DKI Jakarta

AHRP is instrumental in the pilot Waste to Energy project serving as the largest RDF processing facility in Indonesia that manifests Jakarta’s commitment to caring for and managing the environment, not only a place for residue, but also a place to process waste with use value.

As part of the project management team, AHRP works alongside other service providers in providing technical, legal, and financial deliverables for the project. In doing so, AHRP closely assists Unit Pengelola Sampah Terpadu Dinas Lingkungan Hidup Provinsi DKI Jakarta (UPST DLH) in cooperating with third party entities PT Indocement Tunggal Prakarsa Tbk. and PT Solusi Bangun Indonesia Tbk. that provide RDF from waste processing to cement factories.

AHRP Advised the Toll Road Divestment Transaction in the Restructuring Deal Secured in Waskita Group

Client: PT Waskita Toll Road

AHRP assisted PT Waskita Toll Road and its subsidiary company PT Waskita Transjawa Toll Road in an IDR 5.8 trillion toll road divestment project involving Indonesia Investment Authority (INA) as the purchaser. The divestment deal served as part of a major loan restructuring deal secured by PT Waskita Karya (Persero) Tbk (IDX: WSKT) in the previous year that initiated INA’s participation in the toll road business.

The toll road divestment deal comprised several sequences of work from the selling of Toll Road Business Entities (Badan Usaha Jalan Tol/BUJT), which own the concession of Kanci-Pemalang and Pejagan-Pemalang toll roads, subscribe-and-redemption of Limited Participation Mutual Funds (Reksadana Penyertaan Terbatas/RDPT) in PT Waskita Transjawa Toll Road, and to the novating intra-company loans. AHRP worked intensively with CIMB Niaga
Sekuritas and BRI Danareksa Sekuritas in achieving this milestone.

AHRP Advised PT United Tractors, Tbk. in Placing its Portfolio in PT Arkora Hydro, Tbk.

Client: PT United Tractors

AHRP advised PT United Tractors Tbk. (IDX: UNTR) and its subsidiary PT Energia Prima Nusantara (EPN) in placing portfolios directly and indirectly worth 31,49% of PT Arkora Hydro Tbk.’s shares (IDX: ARKO) through a fixed allotment and over-the-counter transaction. AHRP was involved in every strategic thinking since the initial phase of the transaction, from identifying and navigating the risks in the pre-IPO allotment process, assisting through the drafting and negotiation, closing the deal, and guiding both UNTR and EPN through the capital market postclosing obligations.

In the broader context, the deal allowed UNTR as a part of Astra Group to expand and diversify its portfolio towards renewable and environmentally friendly projects, whereby this move also creates another additional value to align with Astra’s business development strategy.

AHRP Advises Indonesia Toll Road Association

Client: Indonesian Toll Road Association

A multidisciplinary team led by AHRP advises the Indonesian Toll Road Association (ATI), which consists of all toll road concessionaires in Indonesia, in the efforts to improve the existing Toll Road Concession Contract.

The necessary improvement in the concession contract is mainly due to the Government’s plan to transform the toll collection system into a contactless cashless toll transaction system based on Multi-Lane Free Flow with Global
Navigation Satellite System on all toll roads in Indonesia (MLFF System). Under the MLFF System, the toll road users are expected to benefit from reduced congestion and efficient toll collection. In addition, the MLFF System is intended to lead to operation cost savings for toll road concessionaires.

The concession contract improvement is also made to accommodate provisions on the right of way utilization and rest area business. Even though toll road businesses have been taking place for decades, the provisions on the
right of way utilization and rest area business in the concession contract are deemed to require enhancement.

In the interest of providing solutions and legal point of view to each stakeholder, AHRP has led the preparation for the white paper which consists of legal, commercial, and technical analysis, the project roadmap, as well as the providing best scheme to carry out the concession contract improvement.

While advising ATI on this project, there are a few key lessons worth noting, that despite the public policy, all the rights and obligations stated in the concession contract can’t be ruled out. Moreover, as the return on toll road
investment in Indonesia came from the toll tariff, so it is necessary to ensure that any modification on the project scope does not interfere with the revenue stream. Furthermore, a provision on the risk allocation between the concessionaire and the Government in the concession contract is a necessity.
