  1. Counsel to Tokyo Tatemono Co Ltd and Tokyo Tatemono Asia Pte. Ltd.Representing and advising both Tokyo Tatemono Co Ltd, Tokyo Tatemono Asia Pte. Ltd in the acquisition/subscription of 50% shares in PT Dharma Tatemono Residences and PT Dharma Tatemono Real Property, from Dharmawangsa Group, the total investment of which amounted to more than USD 300,000,000, involving multi layers and mix between direct capital injection, debt-to-equity conversion, and land acquisition. Both companies are designated for the development of prominent office and residential towers in the most prestigious area (Dharmawangsa) in south Jakarta.
  2. Counsel to TIS. Inc in the financing to an Indonesian publicly listed company through the issuance of convertible bonds in the total amount of IDR 560,001,736,660, (approximately USD 40,000,000) which is structured using a right issue method offered to existing shareholders.
  3. Counsel to Hokkan Holdings Limited in the acquisition of 7 business of Indonesian plastic packaging companies operating in wide-spread area across Indonesia and having a significant aggregate amount of assets.
  4. Counsel to Itochu Corporation in the more than USD 49 million acquisition of an Indonesian Fintech (P2P) company under one of the conglomerate Indonesian groups. This is the pioneer licensed P2P company in Indonesia.
  5. Counsel to Showa Denko KK in the re-structuring of PT Indonesia Chemical Alumina (ICA), a company with a capital of USD 188,500,000 and annual sales of USD 200 million. The divestment resulted in PT Aneka Tambang Tbk (Antam) owning 100% of ICA’s shares

Which practices do you see growing in the next 12 months? What are the drivers behind that?

M&A and Real Estate will still be the most active practice in the next 12 months considering the attractiveness of Indonesian market and its population and the most recent various relaxation by the so-called Omnibus Law, including allowing foreigners to own a strata title unit in Indonesia, which was previously rather limited. In addition, given our strong knowledge and vast experience in banking and financing, our banking/financing practice will grow stronger in the next 12 months. Also, our TMT (especially fintech) and antitrust team are growing steadily, and we expect the trend remains for the next 12 months.

What’s the main change you’ve made in the firm that will benefit clients?

We are really proud of our clients’ praise towards us that we are a “client-oriented” firm, where we place our clients’ satisfaction as our top priority. To achieve this, we conduct evaluation on our products and services from time to time.

In terms of products, we have changed the form of our finding reports and certain standard draft documents to be more “client-friendly” and straight forward, to help our clients to immediately focus on real legal issues and to provide them with real legal solutions of each issue.

Also, our size has rapidly grown from 16 to 25 lawyers this year.

For the structure of their transactions, our clients do require stability and strategic advice from us from time to time, particularly in relation to compliance issue. In three year time, we hope to see our firm as one of the 1st-tier firms in Indonesia in M&A, Financing and Banking.
