Nemetschke Huber Koloseus (NHK) was founded in 2010. The partners are proven experts with regard to the processing of purchases and the disposal of commercial real estate. Be it office buildings, hotels, industrial estates or shopping and logistics centres, they create a reliable basis for the sustainable profitability of their client’s facility beforehand, through sound analysis and investigation. The interface of legal, fiscal and commercial matters requires a well-rehearsed team that is also aware of the specific requirements of institutional investors. Over a period of more than a decade, the partners of NHK have developed a close-knit network of specialists that meets these high standards.

Areas of practice: Real estate law: from the acquisition of an item of real estate or property through to project development and financing, NHK supports all stages of real estate projects. Work includes: processing of property transactions, corporate real estate and M&A with a focus on property transactions of commercial and residential real estate, shopping centres and retail properties, as well as hotels in Austria and CEE/SEE; project development; project financing; contract law for real estate developers, grandfathering rights and brokerage law, etc; and land and commercial register transactions.

International building, construction and engineering law: in this specialist area in particular, the firm’s combination of technical and legal expertise is decisive. Its longstanding experience in building, construction and engineering law will provide clients with a crucial lead. The firm provides consultation and support in connection with: general contractor and project coordinator agreements; architect, engineer and general planner contracts; FS, FEED, EPCM and EPC contracts; FIDIC and CRINE contracts; project management and development agreements; joint venture, consortium and underwriting agreements; security agreements; supplemental services and claim management services; and auditing and optimising of partial and final invoices.

Corporate law: NHK’s expertise in this area extends from ongoing consultation in matters of corporate law to classic M&A transactions. Be it in Central, Eastern or Southern Europe, clients can benefit from the firm’s experience, particularly when dealing with complex and cross-border transactions. Work includes: foundation and reorganisation of companies under consideration of fiscal aspects; contribution, conversion, merger, demerger and division; articles of association, syndicate and cooperation agreements; queries regarding the choice of legal structure; share purchase agreements; and commercial register transactions.

Renewable energy: while plants for renewable energy have all the features of a real estate project, they nonetheless require specialised expertise. NHK’s support covers all stages of the project, from the purchase of the property to the plant’s construction and through to its disposal. Work includes: property purchase agreements; building contracts; project management agreements; project financing contracts; contracts with utility companies; and management and service agreements.

Litigation and arbitration: should clients’ interests need to be represented before a court or in the context of arbitration proceedings, NHK will of course also provide active support to them in this area. Work includes: construction processes; temporary injunctions; termination proceedings (tenancy and lease agreements); and arbitration proceedings.
