Restructuring and insolvency Tier 1

Bogdan Bibicu’s team at Kinstellar covers the gamut of restructuring and insolvency matters. It advised EFG Bank Luxembourg on state-owned Hidroelectrica's insolvency proceedings, particularly in relation to protecting the client’s receivables arising under a multi-currency facility agreement. The team is also advising Citibank and BRD – Groupe Société Générale on amendments to and restructuring of existing finance taken by RCS & RDS.

Banking and finance Tier 2

Kinstellar is assisting the European Bank for Reconstruction and Development in relation to a secured loan facility for the construction of an 84MW wind farm in Romania. Key client BNP Paribas Fortis received advice on the release of existing security for finance granted to Joris Ide Group. Bogdan Bibicu heads the group, which is well regarded for its work on insolvency and regulatory matters, financial restructuring and NPL portfolios.

Dispute resolution Tier 2

Kinstellar's team is jointly led by Bogdan Bibicu and Remus Codreanu; it handles commercial, civil, employment, administrative, public procurement, construction and sports-related disputes. In a recent highlight, it successfully defended a pharmaceutical laboratory and a pharmaceuticals company in the High Court of Cassation and Justice in a claim relating to alleged unlawful termination of a distribution agreement. The team also advised a global automotive supplier on two potential disputes with suppliers based in Romania and Hungary over a breach of contractual clauses and defective products.

Real estate and construction Tier 2

Kinstellar's team adopts ‘an all-round, comprehensive approach in dealing with law matters’. Victor Constantinescu leads the practice, which excels in handling asset management and lease matters, transactions, as well as work in the agriculture and logistics sectors. Notable instructions included advising an Irish international property development company on the sale of a retail centre in Brașov and acting for Atrium in the €95m sale of its Militari shopping centre to South Africa-based MAS. Razvan Popa is an integral member of the team and possesses ‘vast experience in real estate matters’.

TMT Tier 2

Kinstellar provides a full service in the TMT sector, including telecoms acquisition financing and data protection issues. Practice head Bogdan Bibicu as well as Razvan Popa are the names to note. The latter recently advisedThe Walt Disney Company on the structuring of cross-border data protection matters and BT Group on the Romanian legal framework governing data retention and disclosure by electronic communication providers.

White-collar crime Tier 2

Kinstellar hosts ‘a top-notch practice’, providing a ‘level of support of international standard’. Bogdan Bibicu is noted for his ‘great attitude, wisdom and practical insights’ and heads the practice together with Remus Codreanu, who is similarly singled out by clients. Work undertaken includes investigations and enforcement proceedings, compliance and strategic risk management as well as white-collar crime defence.

Capital markets Tier 3

Practice head Bogdan Bibicu is the key name at Kinstellar. He recently advised ING Bank on Romanian law implications and selling restrictions in relation to a €40bn global bonds issuance programme. Continental Capital Markets received advice on MiFID II requirements for providing services in Romania.

Commercial, corporate and M&A Tier 3

Kinstellar specialises in acting on complex sale structures and has particular agriculture industry knowledge. It advised Romania-based Promat Comimpex and Agroind Cauaceu on the sale of 40% of their shares to Ameropa. Nestlé received advice on post-closing local implementation matters following its joint venture with R&R Ice Cream. The team, headed by Razvan Popa, also has expertise in the retail, industrial, automotive and banking sectors.

Employment Tier 3

The ‘knowledgeable, helpful, quick and customer-oriented’ team at Kinstellar is noted for its ‘commercial mindset and understanding of business needs’. At Kinstellar, practice head Iustinian Captariu is advising DufEnergy on regulatory requirements for gas transportation and obtaining a gas supply license. He also assisted MET Group with its acquisition of RWE Energie in Romania. The recent caseload includes a number of oil and gas projects in the Black Sea.
