Career

Andrew Ritter is a Partner in Wiggin and Dana’s Corporate Department and focuses his practice on mergers and acquisitions, emerging company and venture capital matters and corporate restructuring matters. He is also a member of wiggin(x).

As a mergers and acquisitions attorney, Andrew advises public and private companies, investment firms, strategic investors and other parties on domestic and cross-border mergers and acquisitions, carve-outs and other dispositions, joint ventures, and general corporate matters. Andrew is also recognized as a “Super Lawyer” in mergers and acquisitions by Super Lawyers, Thomson Reuters, 2020-2021.

For example, Andrew’s mergers and acquisition experience includes:

  • the representation of a foreign strategic in connection with its acquisition of an international, U.S.-based public technology company for approximately $4.5 billion;
  • the representation of a foreign strategic in connection with its approximately $2 billion bid for petrochemical assets located in the United States;
  • the representation of a private equity firm in connection with its simultaneous acquisition of four private technology companies for approximately $500 million in the aggregate; and
  • the representation of an international investment bank in connection with its carve-out of one of its financial technology groups.

As an emerging company and venture capital attorney, Andrew advises emerging growth companies, as well as the investors, founders and directors who support or lead them. Andrew also regularly serves as a trusted advisor and outside general counsel to emerging growth companies, representing them in connection with formations, angel, seed, venture, private equity and debt financings, joint ventures, commercial agreements, strategic transactions and mergers and acquisitions. Andrew has also assisted his clients with numerous software development deals, many in the video game development context.

For example, Andrew’s emerging company and venture capital experience includes:

  • the representation of a strategic investor in connection with hundreds of millions of dollars of early and late stage financing in emerging energy companies;
  • the representation of an emerging online platform in connection with late state convertible bridge notes and its Series C financing;
  • the representation of a mobile game developer in connection with tens of millions of dollars of game development deals; and
  • the representation of an emerging health technology company in connection with its Series Seed financing.

As a restructuring attorney, Andrew is a Co-Chair of the firm’s Restructuring and Distressed Transactions Practice Group and advises debtors, creditors, distressed investors and acquirers in a variety of in- and out-of-court restructuring matters, including conventional Chapter 11 cases and small business cases under Subchapter V of Chapter 11.

For example, Andrew’s restructuring experience includes:

  • the representation of Harman International in connection with its debtor-in-possession financing to, and subsequent acquisition of, Savari, Inc., a distressed emerging software and hardware technology company, in one of the first plan sales completed under Subchapter V of Chapter 11;
  • the representation of Roust Trading Ltd., owner of Russian Standard Vodka, in connection with its acquisition of Central European Distribution Corporation (CEDC), a leading producer and distributor of spirts in Russia, Poland and Hungary, through CEDC’s pre-packaged Chapter 11 cases in Delaware;
  • the representation of Classic Party Rentals, one of the largest event rental companies in the United States, in connection with its Chapter 11 cases in Delaware; and
  • the representation of the Revel Hotel & Casino, a multi-billion dollar casino resort located in Atlantic City, New Jersey, in connection with its Chapter 11 cases in New Jersey.

Prior to joining Wiggin and Dana, Andrew worked as an Associate for two prominent international law firms, and was a Partner at a New York-based, boutique transactional law firm.

Before his career in law, Andrew served in the U.S. Army as an infantryman, and deployed to Afghanistan with the 82nd Airborne Division. Andrew earned his J.D. in two years from Northwestern University School of Law, and earned his Bachelor of Arts from Florida Gulf Coast University studying Political Science and Economics.
