Career

Derek Stenson is a Partner in the Cayman Islands office of Conyers Dill & Pearman. Derek joined Conyers in 2018. He specialises in insurance, reinsurance and structured products, as well as a broad range of corporate and finance matters.

Derek has extensive experience advising a wide range of international financial and insurance institutions on all aspects of insurance and reinsurance law and regulation. Derek also has particular expertise advising on repackagings and collateralized loan obligations, corporate finance and M&A transactions, portfolio transfers, restructurings, stock exchange listings, mergers, migrations, contractual negotiations and regulatory and compliance matters.

Derek has been consistently ranked as a recommended Lawyer in Legal 500 since 2014. Clients highlight him having “outstanding knowledge, responsiveness and collaboration with other advisors”. They also note that he is “intelligent, diligent, responsive and hardworking”.

Conyers Dill & Pearman's Richard Fear leads the Cayman corporate team and is recommended for M&A, private equity portfolio transactions, venture capital deals and corporate reorganisations. He led advice as special legal counsel in Cayman to PagSeguro Digital, which provides online and in-store payment services, on a restructuring matters and a high-value New York Stock Exchange IPO. Other highlights include Craig Fulton's assistance, as Cayman legal counsel, to Chrysaor on its purchase of a package of oil and gas fields from Royal Dutch Shell. Kevin Butler heads the Cayman office and has extensive experience in M&A and insurance matters. Also highly regarded are Matthew Stocker and Gene DaCosta. Derek Stenson and associate Michael O’Connor joined from Walkers and Campbells, respectively, while Martin Lane joined Lane Family Investments and former senior associate Charlie Pywell left for Campbells.

Conyers Dill & Pearman's Cayman team advises on a broad range of insurance-related transactions, including M&A, regulatory advice for all licenses, and transfer by way of continuations for licensees, both into and out of the jurisdiction. It also handles catastrophe bonds, structured insurance products and insurance litigation and insolvency work. In a complex deal that involved a review of policy wordings and deal terms, it acted for MetLife on a joint venture transaction with a large Cayman reinsurer, which included advising on a co-insurance policy structure. Other highlights include advising Clifford Allen Associates on setting up two companies, as well as applying for an insurance broker's licence to provide student insurance plans tailored for international students attending private secondary schools in the US. The practice hired the 'experienced and capable' Derek Stenson, who is highly rated for his advice to a wide range of international financial and insurance institutions on insurance and reinsurance law and regulation, from Walkers. Other key names are Kevin Butler, who heads the firm's Cayman office and corporate practice, and Richard Fear. On the contentious side, Paul Smith and Fraser Hughes are recommended.
