Career

Theo Lefkos is a Partner and Head of Private Equity in the Cayman Islands.

Theo’s practice focuses primarily on the formation and operation of private funds (both private equity and credit) and the downstream activities undertaken by private funds. Theo has represented fund sponsors across a range of strategies including growth, venture, distressed, real estate, energy and infrastructure, fund of funds and secondaries.

Theo routinely advises general partners on their upper tier structures and governance arrangements, setting up co-investment vehicles and separately managed accounts for investors, as well as some more innovative structures such as rated note feeders. Theo has advised some of the world’s largest fund sponsors, as well as midsize and start-up managers.

In addition, Theo has extensive experience in general corporate matters, mergers and acquisitions, public offerings, restructures, joint ventures and employee share plans.

Prior to joining Conyers, Theo worked in the Investment Funds Group of another leading Cayman Islands firm, and in the Mergers and Acquisitions Group of one of Australia’s leading law firms, Mallesons Stephen Jaques (now King & Wood Mallesons). There he had extensive experience advising on a number of high profile public M&A transactions and capital raisings, as well as private M&A transactions.

At Conyers, corporate department head Matthew Stocker also leads on fund work, and takes on a range of mandates on behalf of both open-ended and closed-ended investment funds, encompassing issues relating to hedge funds and private equity matters. In September 2023, the group added Theo Lefkos, who joined from Walkers and now leads the firm’s Cayman private equity team; he advises on the formation and operation of private funds and related downstream activities. The team on the ground is supported by the firm’s global funds practice, which has offices strategically located in London, Hong Kong and Singapore.
