White & Case LLP is best known for its impressive standing in Brazil, although it has genuine credibility throughout the region including in Peru, Chile, Colombia and Argentina. Through its New York, Miami, São Paulo and Mexico City offices, it has a Latin America platform that few can match, and the practice enjoys an even mix of issuer and underwriter engagements and has an established record in equity, debt and structured note deals. The team has exceptional experience in both equity and debt, including SEC-registered IPOs, high-yield debt, sovereign bonds, project bonds, green bonds, hybrid products and liability management transactions. It advises most of the major underwriters in the region and also has a range of impressive issuer-side relationships, especially in Brazil. In recent work it advised the owner-and-operator of Santiago’s metro system, Empresa de Transporte de Pasajeros Metro, on its $500m debt offering to finance the construction of two new subway lines; and represented Fibria Overseas Finance on its $700m green bond offering, guaranteed by Fibria Celulose, the company’s first-ever green bond and the largest green bond offering by any Brazilian issuer. In one of the headline equity follow-on deals of 2016, the São Paulo team advised Energisa on its $396m public offering; and in yet another highlight, it represented Minerva Luxembourg on its $1bn high-yield debt offering, guaranteed by Minerva, one of Brazil’s largest producers of beef products. Head of the Latin America practice (and founder of the São Paulo office back in 1997), Donald Baker is a senior statesman in Brazil and has unrivalled connections to local issuers and active underwriters. New York partner John Vetterli is well regarded among issuers and underwriters and is active in key markets such as Brazil, Mexico, Colombia, Chile and Peru. New York’s Daniel Nam has a background in high-yield debt and is a key player in liability management transactions, and Miami partner Mark Bagnall has a fine record in SEC-registered deals and is especially active with Brazilian issuers. Also in Miami, Victor Mendoza is another key member of the team, while São Paulo’s John Guzman is a versatile young partner covering a range of equity and debt deals and is noted for his liability management expertise. São Paulo partner John Anderson is recommended for project bonds transactions.

John Donovan’s New York-headquartered team at White & Case LLP is complemented by platforms in Washington DC and Miami, the latter facilitating the group’s strong showing in Latin America. The firm’s historically close relationships with lenders translates into a robust financial issuer practice and it also shines in energy deals. Gary Kashar and banking partner Francis Zou advised Agricultural Bank of China (New York Branch) on several matters, including the update of its $10bn MTN program and a subsequent $1.2bn offering of senior notes under the program. Kashar also acted for Kansas City Southern in a $2bn note exchange offer. In another highlight, Jonathan Michels teamed up with Daniel Nam and global M&A head John Reiss to assist Fortis with its $2bn Rule 144A/Regulation S notes issuance.
