Luis Pedro is the head of the following practice areas in Guatemala: Corporate, Mergers and Acquisitions, and Banking and Finance.

He regularly advises private equity processes and the agreements commonly implemented in such operations.

Likewise, he has directed and advised on corporate restructuring and participated in due diligence processes, as well as in the subsequent negotiation of agreements for the purchase of shares or participations or assets, as required.

Additionally, he regularly advises on real estate transactions and operations, from property acquisition to the structuring of development vehicles and the drafting of the applicable co-ownership regime.

Luis Pedro has provided legal advice on foreign direct investments through the establishment of local operations, as well as in the design and negotiation of contracts, such as franchises, distribution, and agency agreements.

He has a solid professional track record in telecommunications law, information technology and media law.

Represented the Spanish telecoms company Telefónica in Guatemala on the sale of their assets across Central America to counterparts Millicom and América Móvil for US$2.3 billion.

Represented Delivery Hero SE, the world’s leading local delivery platform, in the acquisition of Glovo’s full operations in Latin America for EUR 230 million.

Represented IMCD N.V., a leading distributor of specialty chemicals and ingredients, in their acquisition of 100% of the business and the subsidiaries of Quelaris Internacional S.A.

Represented Grupo HPB, in the structuring of an ownership model aimed at fostering the ownership of properties amongst various persons or entities, so that they can benefit from the operative yields.

Represented Webhelp Guatemala in the acquisition of all of OneLink´s Latin America operations.

Central American firm Arias handles a mix of transactional and regulatory banking and finance matters in Guatemala, with a strong track record in leading the firm’s regional teams on cross-border mandates. The team advises a diverse roster of multinational companies across the energy, real estate, telecoms, pharmaceutical and banking sectors, to name a few, and has also expanded its base of domestic clients, recently acting for a number of prominent local businesses. Strengths include domestic and cross-border M&A, corporate restructurings, the incorporation of local operations, corporate governance and commercial issues. Luis Pedro del Valle took over leadership of the department in March 2023 following the departure of Jorge Luis Arenales; del Valle is noted for his broad expertise, covering M&A, corporate restructurings and venture capital transactions. The team also benefits from a deep bench of talented junior members, including senior associates Cindy Arrivillaga (who is experienced in cross-border transactions) and the recently promoted Jorge Ordóñez. The team also counts land development projects among its core areas of expertise, assisting with drafting construction contracts and obtaining permits in different municipalities. Luis Pedro del Valle took over leadership of the practice following the departure of Jorge Luis Arenales in March 2023 and draws on extensive corporate and finance experience to advise on real estate transactions, ably assisted by senior associate Jorge Ordóñez.
