Gannons is a boutique London commercial law firm focused on solving business problems commercially. Types of work undertaken: Company: Gannons works with SMEs, start-ups, investors or entrepreneurs to set up the most appropriate  structure to realise their business objectives. The department deals with the full range of company hurdles, from funding, development, and investment transactions at the outset to later acquisitions or sales of the business. The team offers a full service to its corporate clients, covering niche areas of company law such as SEIS and EIS clearances from HMRC for investment opportunities. The team also routinely advises on EMI options, HMRC approved plans, unapproved options, growth schemes and the award of shares, including restricted shares.

Commercial: Gannons specialises  in corporate transactions for a variety of SMEs, with particular specialism in negotiating agreements for the leisure, technology, media and platforms industries. Core work includes licences, assignments, software agreements, intellectual property rights ownership, collaborations, joint ventures, insolvency proceedings and  corporate restructures and re-organisations.

Employment: Gannons’ employment team includes specialists in both contentious and non-contentious employment matters. The firm is on a number of panels as an independent adviser for settlement agreements. The non-contentious team frequently works with the company law team and share incentives specialists to provide a full service, often handling employee share plans, worker rights and TUPE regulations, as part of larger transactions or re-organisations with corporate, intellectual property and tax implications. The contentious team has vast experience appearing at employment tribunals on behalf of both employers and employees, as well as commencing matters in higher courts such as injunctive relief cases.

Dispute Resolution and Litigation: With qualified and experienced mediators, the firm’s approach is to settle commercial disputes wherever possible. The team is always prepared to litigate if necessary to achieve commercial results and is equally knowledgeable on both sides of commercial disputes. With a background in corporate and commercial law, the team has specialist experience in shareholder disputes, partnership disputes, directors’ duties, breach of technology agreements and infringement of intellectual property rights.

Tax: the firm has a strong background in transactional tax and taxation of shares and options awarded to employees and investors. There is also a growing practice area around resolution of tax disputes with HMRC.

As a law firm with its own origins as a startup Gannons understands the difficulties and uphill struggle that some entrepreneurs face starting out so the team is always trying to support startups and SMEs with the help they need to grow.

So in combination with talks to startups at incubator hubs the team are trying to provide useful information about topics that will help SMEs via Ask the Expert videos that are posted on social media. Project Cub is designed to evolve and respond to the needs of startups.
