Advising the client on drafting contract and negotiating for the purchase of Abbreviated New Drug Application (ANDA) from US sellers; Advised one of the world-renowned dredging companies on the laws relating to Public Private Partnership (PPP), income tax, value added tax, public procurement, construction and infrastructure, corporate, and banking and finance in connection with dredging activities to be undertaken by the client in Bangladesh; Advised one of the largest international NGO on its corporate governance restructuring in 19 (nineteen) subsidiaries located in 10 (ten) different countries around the world; Advised one of the leading power sector entity in Bangladesh on its amalgamation with two of its subsidiary companies; Advised a number of international NGOs for registration with the NGO Affairs Bureau in Bangladesh; Representing a leading international cotton supplier on multiple litigation in connection with enforcing foreign arbitration awards; Advised a leading tobacco company on cross-border trademark protection issue and labour laws (including union issues) in Bangladesh; Advised an international payment platform company on its entry into Bangladesh; Advised a leading venture capital firm in Bangladesh on structuring a PE & VC fund under the applicable laws; Conducted due diligence on 300 acre land for potential acquisition by an European energy company; Advised a professional body of architects in drafting model contracts; Advised several NGO’s on registration, renewal, restructuring and on labour, employment, foreign donation and immigration laws; Successfully represented a leading developer company before the labour court on matters involving termination of workers; Advised a Switzerland based financial company on several cross-border debt investments in Bangladesh; Advised a leading pharmaceutical company on patent laws; Advised a leading mobile telecommunication company regarding restructuring of non-core businesses & related tax implications.
