Career

As a specialist in banking and finance law since 1997, Jane Eespõld advise both local and international clients on the whole spectrum of legal matters in the field. This includes regulatory, fund management and capital markets matters as well as financing transactions.

Advising Nordea in creating Luminor. Jane co-led the firm’s pan-Baltic team who advised Nordea in the largest transaction in the history of the Baltic financial markets when Nordea and DNB combined their banking, leasing and pensions businesses in Estonia, Latvia and Lithuania by creating Luminor. She advised Nordea throughout the transaction for two years, from planning and transaction structuring, through to regulatory approvals and closing.

Advising Nasdaq in merging CSDs. As a member of the firm’s pan-Baltic team Jane Eespõld advised Nasdaq in merging its central securities depositories in the Baltics. She consulted the client on all Estonian regulatory matters throughout this complex and ground-breaking project during 2014-2017.

Capital market transactions. Jane was on Sorainen team advising the international syndicate of banks in the landmark case of the initial public offering and listing of shares of the Port of Tallinn in 2018. This was the first initial public offering of a state-owned entity in Estonia since 1999.

Eurobond issues. She has advised on Estonian law aspects of Eurobond issues by consulting both issuers of bonds – such as Elering, the state-owned electricity and gas transmission system operator – as well as managers of bond issues, such as the consortium of banks who were managers in Eurobond issues by Eesti Energia.

Licensing and other regulatory matters. Jane advise clients in dealings with supervisory authorities, such as obtaining licences – eg, when Northern Horizon Capital obtained an alternative investment fund manager’s (AIFM) licence – in establishing and registering funds, qualifying holding acquisition proceedings and other supervisory compliance issues.
