Allen & Overy, A. Pedzich sp. k.’s group specialises in managing complex refinancing transactions and loan facilities for some of the world’s largest banks and financial institutions. Tomasz Kawczyński and Dan Cocker acted for a group of creditors on the PLN1.7bn refinancing of EmiTel, while Arkadiusz Pędzich led a team advising Deutsche Pfandbriefbank and HSBC as lenders and hedge counterparties on the refinancing and additional development financing for CH Janki. Capital markets specialist Piotr Lesiński is another name to note.

Clifford Chance maintains ‘a strong local presence with a team of lawyers specialising in areas ranging from leveraged financing to restructuring and equity funding’; it assisted a consortium of lenders with the provision of PLN7bn-worth of term and revolving facilities to Play. Grzegorz Namiotkiewicz and counsel Irena Floras-Goode, who is ‘a very good, experienced negotiator’, are assisting Polski Fundusz Rozwoju as a mezzanine finance provider with refinancing the oil and gas exploitation project sponsored by Lotos Petrobaltic. Andrzej Stosio is also recommended. Marcin Bejm, previously a counsel with the firm, joined CMS as a partner in March 2018.

Dentons fields a ‘highly capable, reliable and service-oriented’. ‘Incredibly diligent and proactive’ counsel Bartosz Nojek, who ‘works tirelessly to get a transaction across the finish line’, assisted practice head Mateusz Toczyski with advising Europa Capital on its refinancing of Spektrum Tower, involving a €66m loan from Berlin Hyp. Tomasz Braun joined G&T Braun Partners. Michał Mężykowski joined CMS in May 2018.

The ‘open-minded’ lawyers at Linklaters provide ‘excellent and timely advice’ to lenders as well as borrowers. Jarosław Miller, who leads the practice, advised a consortium of banks comprising BGŻ BNP Paribas, Bank Zachodni WBK and the European Bank for Reconstruction and Development (EBRD) on the PLN256m refinancing of Arctic Paper’s debt. Managing associates Marta Domino and Joanna Gawlicka are also recommended.

CMS houses ‘a highly professional and seasoned team with a strong understanding of commercial considerations’. The practice secured a number of new panel appointments, including Agencja Rozwoju Przemysłu, PKO Bank Polski and Bank Handlowy w Warszawie. The group assisted Bank Zachodni WBK with a PLN120m revolving credit facility for Empik Group. ‘Proactive, creative and committed’ counsel Tomasz Zwoliński has ‘a great grasp of the commercial nuances of transactions’. Beata Barwińska and Małgorzata Chruściak joined Jedwabny & Brzozowska Legal and EY Law, respectively. Marcin Bejm, who was a new arrival in March 2018 from Clifford Chance, heads the firm’s infrastructure and project finance practice. Michał Mężykowski, who heads the team, was one of several new arrivals from Dentons in May 2018.

Greenberg Traurig Grzesiak sp. k.’s group not only provides ‘the highest level of knowledge and accuracy of advice’, but is also ‘adaptable to business needs’ in transactions ranging from mezzanine financing to financial restructuring. Practice head Andrzej Wysokiński and Aleksander Janiszewski advised Roust and its affiliates on a $385m cross-border financial restructuring and refinancing. The group acted for Innova Capital on its acquisition of a majority stake in Profim; Jarosław Grzesiak managed the transaction, while Wysokiński and Janiszewski handled debt financing matters. Agnieszka Stankiewicz specialises in real estate project financing.

Securitisation, project financing and refinancing are among the key strengths of Hogan Lovells (Warszawa) LLP’s team. Rafał Grochowski and newly promoted counsel Elżbieta Rablin-Schubert are advising Przewozy Regionalne on the PLN629m financing arranged by European Investment Bank (EIB) and a consortium of banks led by Bank Gospodarstwa Krajowego for the provision of 55 next-generation trains. Meanwhile, Piotr Zawiślak assisted Ghelamco with the €300m and PLN500m refinancing of the Warsaw Spire Tower.

Norton Rose Fulbright’s group assists banks and financial institutions with asset and project finance matters, as well as handling secured corporate lending and mezzanine financing. Practice head Grzegorz Dyczkowski and of counsel Tomasz Rogalski are advising Inter Cars on PLN1.1bn-worth of loan facilities granted by a consortium of leading banks. Other highlights include advising HSBC France on the PLN300m credit facility granted to Europejski Fundusz Leasingowy.

The ‘great attitude, know-how and experience’ of White & Case M. Studniarek i Wspólnicy - Kancelaria Prawna sp.k.’s ‘flexible and open-minded’ team attracts instructions from major creditors and corporate borrowers, particularly in cross-border transactions. Tomasz Ostrowski, who has ‘strong market expertise’, assisted a consortium of banks including Bank Zachodni WBK and ING Bank Śląski as arrangers with the accession of Bank BGŻ BNP Paribas and HSBC Bank Polska to the PLN1.4bn-worth of credit facilities provided to Prime Car Management. Nicholas Coddington is also recommended.

Baker & McKenzie Krzyżowski i Wspólnicy Spółka Komandytowa’s experience includes project financing in the energy, real estate and life sciences sectors. Practice head Ireneusz Stolarski, who ‘finds solutions, not problems’, and counsel Tomasz Kaczmarek acted for Energix Renewable Energies on the PLN594m financing of the 106MW Banie wind farm project. The group also handled the launch of new financial products for the Polish branch of Western Union.

Domanski Zakrzewski Palinka’s group advises banks on regulatory matters as well as on refinancings and new product launches. Practice head Magdalena Skowrońska provided regulatory advice to Ferratum on consumer lending and to Bank of America on payment products. Andrzej Foltyn led a team handling the restructuring of the credit unions system in Poland for Bank Guarantee Fund.

Gide Loyrette Nouel’s group advises borrowers as well as lenders on a range of financing and refinancing transactions. Practice head Paweł Grześkowiak advised Polski Fundusz Rozwoju on the PLN3.2bn financing of its acquisition of a 33% stake in Bank Pekao from UniCredit, and assisted Unibail-Rodamco with the €200m refinancing of Arkadia shopping centre. The team also assisted mBank with its PLN139m investment loan to Konsalnet. Associate Marta Karmińska is noted.

Kochanski Zieba & Partners’ group delivers ‘very effective and fast conduct of negotiations’, as well as ‘top quality and speed of drafting’. Its client base is dominated by major banks such as Lloyds Bank, HSBC and ING Bank. Practice leader Szymon Gałkowski has ‘substantive competence and a high level of engagement, knowledge and experience’. Senior associate Klaudia Szymańska-Rutkowska is another name to note.

Weil, Gotshal & Manges LLP’s team of ‘outstanding performers’ includes ‘masterly, tactful and extraordinarily dependable’ Marcin Iwaniszyn, who ‘delivers superior results’ and made partner in January 2018. Counsel Zofia Frydrychowicz led a team advising Cognor Holding as borrower on €60m-worth of facilities provided by mBank and Bank Pekao. Artur Zawadowski joined Leśnodorski, Ślusarek & Partners.

Bird & Bird Szepietowski i wspólnicy sp. k.’s group houses ‘high-class experts’ who ‘think fast’, handle a range of regulatory matters for banks and financial institutions, and are especially strong in the technology sector. ‘Open-minded, business-focused’ leader Sławomir Szepietowski is recommended alongside senior associate Maciej Georg and recently promoted counsel Jakub Ziemba, who ‘tailors his approach’.

DLA Piper Giziński Kycia sp.k.’s ‘fantastic’ team counts Bank Polska Kasa Opieki, the EBRD, the EIB and Blackstone Real Estate Advisors among its clients. Practice head Mariusz Hyla, who joined from Hogan Lovells (Warszawa) LLP, and Krzysztof Wiater are recommended.

K&L Gates LLP’s team provides ‘practical and business-oriented advice in a timely manner’. Practice head Lech Giliciński provides ‘innovative and client-oriented solutions in comprehensive restructuring transactions’. The group acted for Bank Pekao on the acquisition of 33% of its shares by PZU and Polski Fundusz Rozwoju from UniCredit.

Tax expert Adrian Jonca and Gregor Ordon are also recommended.

Magnusson - Kancelaria Prawnicza’s team of ‘hard workers’ demonstrates ‘professionalism and extensive knowledge’ when assisting clients with financing real estate and construction projects. Marek Król, Katarzyna Sawa-Rybaczek and Wojciech Wądołowski are recommended.

Zbigniew Skórczyński and Agnieszka Piasecka are the key contacts at Radzikowski, Szubielska i Wspólnicy sp.k.. The team assists Bank Pekao with financing several real estate developments, including the construction of Skyliner by Karimpol’s Polish SPV. Martyna Kamińska-Tabaka rejoined the firm from KKLW Kurzynski Lyszyk Wierzbicki sp.k.
