Position

Nick Simpson is a partner and the regional head of corporate, and hospitality and leisure for Dentons Middle East. He is based in Dentons' Dubai office and was previously the managing partner of the Firm's Saudi Arabia and Oman offices.

Nick has more than 25 years of experience advising on corporate and commercial transactions through the full range of sectors in the MENA region, including company establishment, mergers and acquisitions, joint ventures, and company flotations and offerings. He also advises extensively on all areas of hospitality, leisure and real estate across the Middle East.

Nick is recognized for his expertise in Chambers & Partners where he is regarded as "an exceptional partner." He is also recognized in the Legal 500 for "the relevance of his interventions and added value," and Chambers Global for his "excellent knowledge, patience and communication skills."

Ministry of Investment (MISA): Advising on seven of twelve economic support deals that formed part of its first wave of projects supported by the Private Sector Partnership Reinforcement (Shareek) Program, with an aggregate project value of US$51 billion. MENA Infrastructure Fund: Advising this leading specialized infrastructure fund manager on the sale of interests in United Power Company SAOG to Khaled Juffali Energy and Utilities, a Saudi Arabian power company. Confidential sovereign wealth fund: Advising a regional sovereign wealth fund in respect of its sale of Riyadh Avenue Mall. L’Agence Française pour le Développement d'AlUla: Advising the French government on its joint venture with the Royal Commission for Al Ula, one of the oldest cities in the Arabian Peninsula and home to Hegra, a UNESCO World Heritage site. The Helicopter Company: Advising the Helicopter Company (a Public Investment Fund subsidiary) on a cross-border acquisition of 51% of Rotortrade's helicopter distribution business. The acquisition involved assets in Singapore, Malaysia, France, the US and Australia. Veolia: Advising as local KSA counsel on the merger between Veolia and Suez in respect of group entities based in KSA. BankDhofar SAOG: Advising on three of its rights issues. Vision Insurance SAOC: Advising on its Initial Public Offering on the Muscat Securities Market. Muscat National Holding Company SAOG: Advising on a three-way Muscat Securities Market listed merger by incorporation of Muscat Life Assurance Company SAOC and Muscat Insurance Company SAOC. This included preparing all the necessary filings with the Capital Market Authority. Saudi Downtown Company: Advising Saudi Downtown Company (a Public Investment Fund subsidiary) on creating its full suite of template services agreements, real estate contracts, purchase orders, consultancy contracts and major and minor work construction contracts for its proposed development of 12 Master Developments across the Kingdom. Sumitomo Corporation and Malakoff International Limited: Advising on the managed exit of Cadagua's interests in Muscat City Desalination Company SAOG and its operating company, Muscat City Desalination Operation and Maintenance Company LLC. Air Products: Advising this leading global industrial gas company on its acquisition of the industrial gases business of Muscat Gases Co SAOG, a company listed on the Muscat Securities Market. Dhofar Insurance Company SAOG: Advising the second largest insurance company in Oman on its capital restructuring, including a rights issue of ordinary shares, a rights issue of mandatory convertible bonds, a private placement of unsubscribed shares and bonds, and a two-tranche share capital reduction. Madinat Al Irfan: Advising Oman's master developer, Oman Tourism Development Company, on its joint venture with leading UAE developer Majid Al Futtaim on the largest flagship urban mixed-use development project in Oman, with a project value of US$13 billion. DAMAC International: Advising one of the Middle East's largest developers on its proposed development of Sultan Qaboos Port, Oman's first residential and commercial port development. Muscat National Development and Investment Company SAOC: Advising on the acquisition of land and development of a theme park in Oman. The Mandarin Oriental: Advising the owner, Eagle Hills Muscat Property LLC, on hotel management agreements, operator agreements and unit sale and purchase agreements for branded residences in Muscat. Porsche Consulting: Advising on a digital transformation project with the US$500 billion giga-city, NEOM. Saudi Cinema Company: Advising on the rollout of AMC-branded cinemas across the Kingdom, including advising on lease and development agreements, supplier contracts, construction, fit-out and consultancy contracts. SHUAA Capital PSC: Advising on the agreements appointing St Regis as manager of a luxury residences project at 1 Palace Street, London, a Grade II listed building overlooking Buckingham Palace. Economic Cities and Zones Authority: Advising on a Regulatory Tools Compliance Assessment and GAP Analysis Project.
